We invite you to consider the position of Chief Legal Officer at Active Care Group. This role offers a hybrid working arrangement, combining office presence with remote work, and may require occasional travel to various services.

The Chief Legal Officer will serve as a generalist, delivering comprehensive legal guidance within the organization while also fulfilling Company Secretary responsibilities. This position will report directly to the Chief Finance Officer (CFO) and will be an integral part of the senior management team in Finance & Corporate Services.

Key Responsibilities:

  • Offer legal counsel to the CFO and the broader Executive Team as necessary.
  • Collaborate with the Chief Commercial Officer and the Group Director of Procurement & Property to draft, assess, and negotiate commercial and procurement agreements.
  • Provide legal insights regarding corporate governance, regulatory adherence, and employment law as needed.
  • Engage with external legal advisors when appropriate.
  • Oversee compliance with relevant laws, regulations, and industry standards.
  • Formulate and implement legal policies, procedures, and best practices to minimize legal risks and ensure compliance.
  • Support corporate transactions, including mergers and acquisitions, with legal expertise.
  • Ensure adherence to statutory and regulatory obligations, including the submission of annual returns and other required documents.
  • Assist in the creation and distribution of annual reports and other corporate communications.
  • Work closely with the Group Director of Risk & Governance to maintain relevant corporate governance policies and frameworks.
  • Monitor national legislation and reports pertinent to the role, preparing briefings for the CEO and CFO as necessary.

Qualifications and Skills:

  • Qualified solicitor in the UK with a valid practicing certificate.
  • Experience in a healthcare setting is preferred.
  • Membership in a relevant professional organization.
  • Thorough understanding of laws, regulations, and compliance requirements in the health and social care sector.
  • Strong grasp of business operations and commercial goals, with the ability to align legal strategies with the organization's objectives.
  • Exceptional negotiation, communication, and interpersonal skills, capable of conveying complex legal concepts and negotiating agreements effectively.
  • Adept at functioning in a fast-paced, dynamic environment, providing high-level guidance and support.
  • Strong stakeholder management abilities, with confidence and humility in communication across all levels.
  • Ability to thrive in a rapidly changing environment with shifting priorities.
  • Excellent organizational skills, attention to detail, and capacity to manage multiple tasks.
  • Sound judgment and decision-making capabilities.
  • Proven leadership skills and a collaborative team player.
  • Effective communicator with the ability to influence at all levels.
  • Familiarity with the workings of a Private Equity environment is advantageous.

Experience:

  • Several years of post-qualification experience in corporate or commercial law, preferably within a law firm or in-house legal department.
  • Expertise in corporate law, including mergers and acquisitions, corporate governance, and commercial contracts.
  • Ideally, experience or knowledge of the health and social care industry.
  • Comfortable engaging with Senior Management to support clinical decision-making and provide informed legal advice.
  • A passionate leader who can inspire and communicate effectively with staff and colleagues at all levels.
