Position Overview

The Commercial team plays a crucial role in evaluating and managing commercial risks associated with business operations, sales strategies, and procurement processes. This team is responsible for conducting thorough assessments of all proposals and contracts, providing drafting expertise, and leading negotiations as necessary. Additionally, we develop tailored agreements for pre-sales and sales initiatives, including comprehensive supply chain contracts.

This position is situated within the Aerospace, Defence, Security and Technology (ADS&T) division of AtkinsRéalis, which is experiencing rapid growth and offers a wide range of services to its clientele. We are seeking a knowledgeable and motivated Commercial Manager with a solid understanding of contract and commercial law, who thrives in the challenge of overseeing a small team of commercial professionals. The ideal candidate will possess several years of commercial experience, ideally gained in a defence or central government-oriented environment, supporting engineering consultancy, management consultancy, and software/technology development projects.

The successful candidate will collaborate closely with the Technical Commercial Director to enhance the skills and capabilities of the broader commercial team while providing support across various commercial functions. Responsibilities will include reviewing, drafting, and negotiating a variety of agreements such as prime and subcontracts, NDAs, MOUs, teaming agreements, and back-to-back subcontracts. Furthermore, you will lead the commercial governance process for bids under your jurisdiction and ensure compliance with AtkinsRéalis' approval framework.

Key Responsibilities:
  • Manage a small team of commercial managers and officers, collaborating with the Technical Commercial Director to enhance their professional development.
  • Draft and finalize sales and procurement agreements.
  • Analyze and negotiate contract terms and conditions.
  • Evaluate and negotiate NDAs, MOUs, teaming agreements, and joint ventures.
  • Review and approve proposals and contracts, ensuring compliance with company governance standards.
  • Provide commercial support to bid teams, contributing to the development of commercial aspects of tender responses and influencing early bid strategies.
  • Identify, mitigate, and manage commercial risks.
  • Review and approve call-off contracts across various framework types.
  • Support commercial activities throughout contract execution.
  • Participate in approvals processes and contribute to bid and governance meetings.
  • Educate non-commercial staff on commercial and procurement matters.
  • Develop commercial guidance documents.
Qualifications:

Essential:
  • A degree in law, business studies, engineering, science, technology, or a related field.
  • Proven experience in people management.
  • Strong understanding of contract law with demonstrated ability to draft and negotiate contract terms.
  • Experience in commercial management within sales and/or procurement, with a willingness to engage in both areas.
  • Ability to analyze, interpret, and draft contractual language with meticulous attention to detail.
  • Experience negotiating contract terms with suppliers and/or clients.
  • Excellent interpersonal skills, with the ability to build relationships with internal and external stakeholders.
  • Capacity to manage multiple priorities and deadlines effectively.
  • Familiarity with contractual documents including NDAs, MOUs, teaming agreements, and both sub- and prime contracts in a consulting context.
Desirable:
  • Knowledge of intellectual property rights, including exploitation agreements and software licensing.
  • Familiarity with industry and government contracts, particularly in the areas of CCS, aerospace, defence, and MOD.
  • Understanding of UK Export Controls and ITAR regulations.
You will be organized, commercially astute, enthusiastic, and eager to learn, with exceptional written and verbal communication skills. A creative and pragmatic approach to problem-solving is essential.
