About the Role:

The primary responsibility of this role is to assist the General Counsel/Company Secretary in ensuring that ENGIE UK adheres to the established corporate governance framework, ensuring full compliance with statutory obligations and best practices within the UK and select international jurisdictions.

Key Responsibilities:
  • Ensure compliance with the UK Companies Act (or equivalent) for ENGIE UK Companies and other statutory requirements, including those in international jurisdictions.
  • Maintain the corporate database, ensuring accurate recording of company secretariat information.
  • Prepare documentation for the execution and management of corporate transactions, including acquisitions, disposals, incorporations, and liquidations.
  • Organize, attend, and document various board meetings, including those related to joint ventures.
  • Provide support to other departments and external service providers on corporate secretariat matters.
  • Assist external reporting accountants and auditors in accordance with the annual and semi-annual reporting timelines.
  • Offer general support and assistance to the General Counsel/Company Secretary as needed.
  • Coordinate the filing of all statutory documents required by the Registrar of Companies in the UK and internationally as necessary.
  • Manage the issuance of purchase orders and processing of invoices from suppliers of legal and company secretarial services.
Requirements:
  • Demonstrated experience in a similar or related position, with practical knowledge of corporate structures.
Qualifications:
  • Graduate of The Chartered Governance Institute (ACG/ACIS) or significant progress towards this qualification.
