About the Role

We are seeking an experienced Governance Director to join our team at CityCare, a provider of NHS Community Health Services. As a Governance Director, you will play a key role in ensuring the smooth operation of our organisation's decision-making and reporting machinery.

Key Responsibilities
  • Develop and implement processes to promote and sustain good corporate governance within the organisation.
  • Establish arrangements for sound corporate governance, including governance frameworks to ensure compliance with the organisation's Standing Financial Instructions and Articles of Association.
  • Ensure the smooth operation of the organisation's decision-making and reporting machinery, and provide independent and impartial advice and guidance to the Chief Executive, Chair, and other members of the Board of Directors.
  • Ensure that the organisation's business is conducted with probity, accountability, and in accordance with appropriate standards and regulations.
  • Lead on key governance documentation, such as the Annual Governance Statement and the formal signing of the annual accounts.
  • Develop and maintain a forward plan for the Board, ensuring that strategic risks to the delivery of the organisation's objectives are identified with mitigating actions and controls in place.
  • Act as a central point of contact for providing corporate governance information for bodies including Internal Audit and External Audit, CQC, NHSE, etc.
Requirements
  • Qualification in corporate governance or as Company Secretary (ICSA).
  • Evidence of continuous professional development.
  • Legal background.
  • Proven significant experience as a Company Secretary or in a senior governance role in a large complex organisation.
  • Significant experience of strategic change management within a large complex organisation.
  • A track record of building and maintaining excellent internal and external relationships working to deliver shared goals.
