Marine Energy Wales

Founded and managed by Pembrokeshire Coastal Forum, Marine Energy Wales (MEW) coordinates support for the rapidly growing marine renewable industry in Wales.

Our vision is to establish Wales as a global leader in sustainable marine energy generation, and we are proud to provide a voice for the wave, tidal and floating offshore wind (FLOW) industries. MEW functions as a programme under the responsibility of PCF staff and Non-Executive Directors. The MEW programme has its own Advisory Board which requires a new Chair, following the retirement of the previous long-standing Chair.

Marine Energy Wales is active across a host of projects, collaborations and stakeholders to spearhead the development and deployment of marine renewable technology, best summarised in these areas of work:

Promoting sector collaboration, knowledge sharing and networking. Cultivating political support and policy development. Attracting inward investment and developing strategic cross-border initiatives. Informing, educating and raising the profile to encourage support, skills and investment. Advancing the Welsh Test Area Centre Network, including our own facility META (the Marine Energy Test Area) in and around Milford Haven. Providing bespoke assistance to technology developers and the Welsh supply chain. Facilitating research co-ordination in Wales.

To do this, MEW brings together technology developers, test centres, wider sectoral alliances such as the Celtic Sea Developer Alliance and Tidal Range Alliance, the supply chain, academia, The Crown Estate and the public sector to help establish Wales as a global leader in sustainable emerging offshore renewable generation. MEW has established strong working relationships with other sector representative bodies, notably Renewable UK Cymru and the Marine Energy Council (MEC).

The MEW programme is significantly funded by the Welsh Government, with further private income secured through membership subscriptions and events. Our Executive Team is based in Pembroke Dock and in North Wales, managed and overseen by the Directors of PCF and the governance structure of the PCF Board. To ensure MEW remains close to its core activities in the sector, an Advisory Board of key stakeholders is in place. This forum (nominally around 12 stakeholders) provides steerage and guidance for MEW’s work, an ongoing industry and sector overview, and seeks to identify strategic opportunities and potential threats for continuing development. The Advisory Board meets four times annually, coinciding with larger networking meetings open to all our members.

A little more about the role:

Remuneration:

The role as PCF Non-Executive Director is unpaid and reasonable (travel) expenses will be covered.
Remuneration is available as part of the MEW Chair role.

Time Commitment :

PCF Main Board: Attendance at four PCF Board meetings in Pembrokeshire (four quarterly meetings a year, each lasting four hours); attendance at other PCF events, as necessary; preparation and reading time for Board meetings; ad-hoc discussion and correspondence outside of the Board meeting schedule.

MEW Chair: Depending on candidate, typical commitment would be up to four days per month, and will encompass attendance at four MEW Advisory Board and associated three Working Group meetings; input into programme, attendance and participation at the two-day MEW annual conference; monthly one-hour MEW staff strategy meetings; bi-weekly one-hour catch up with MEW programme manager. Further opportunities to support the programme in liaison with MEW Programme Manager.

ROLE DESCRIPTION

Position : Non-Executive Director of Pembrokeshire Coastal Forum (PCF) Community Interest Company & Chair of Marine Energy Wales

Accountable To : Chair of the PCF Board of Directors

Main Duties

To act as a Non-Executive Director of PCF in the best interests of the Company, communicating with honesty and in good faith towards its members, employees, principal funding partners; To ensure that the objectives of the Company, as agreed by the Board, are fully, promptly and properly carried out, applying good governance and clear strategic planning principles; Delegate the responsibility and resources to Executive Directors, to achieve the Company’s stated goals; To optimise both the short-term and long-term financial performance of the Company; adopt and oversee the annual budget; and review financial and operational reports; To play a full part in enabling the Board to arrive at balanced and objective decisions in the performance of its agreed role and functions; To ensure the Company functions within the legal and regulatory framework; To take appropriate professional advice in all matters where there may be material risk to the Company, or where the Directors may be in breach of their duties; To oversee development of policies and procedures.

Non-Executive Directors’ Obligations

Attend all Board meetings called during the year unless prevented by exceptional circumstances; Attend and actively participate in all meetings, providing candid and constructive criticism, advice and comments to the Chairman, Managing Director and other Board members; Contribute to the agenda for PCF Board meetings; Assure that published reports properly reflect the financial and operational situation of the Company; Prepare well for meetings, review minutes, papers and reports; Stay informed about PCF; To avoid any personal conflicts of interest, or possible areas of conflict; Not to accept a benefit from a third party conferred by reason of his/her being a Non-Executive Director

Chair of MEW Advisory Board Obligations

Attend and chair MEW Advisory Board and Working Group meetings during the year unless prevented by exceptional circumstances; Attend and actively participate in all relevant meetings, providing advice to the MEW Programme Manager and other PCF Board members on marine energy; Contribute to the agenda for MEW Advisory Board meetings; Prepare well for meetings, review minutes, papers and reports; Stay informed in marine energy issues and the priorities of MEW members, Welsh & UK Governments and the public; Promote and support wider MEW activities and events as necessary To avoid any personal conflicts of interest, or possible areas of conflict;
