Overview:
We are seeking a dedicated individual to support the Global Head of Governance in providing a premier governance service across various regions, including the EU, UK, and LATAM. This role involves advising on a wide array of governance issues to aid the Boards and Senior Management in fulfilling their responsibilities and compliance obligations.

Key Responsibilities:
  • Evaluate the governance framework of the organization and create relevant corporate governance documents and policies, such as Governance Charters, Board Charters, and Terms of Reference for Board Committees, ensuring alignment with legal and regulatory standards.
  • Oversee the complete process of Board and Committee meetings, which includes scheduling, coordinating agendas, collaborating with stakeholders for necessary materials, reviewing documentation, distributing materials in advance, recording minutes, and following up with responsible parties to ensure timely completion of action items.
  • Ensure that meetings are efficiently organized and contribute positively to the governance and decision-making processes.
  • Guarantee adherence to the organization's rules and policies as outlined in constitutional documents and governance charters during Board and Committee meetings.
  • Assist in the onboarding and training of Directors as required.
  • Maintain ongoing communication with the Compliance Function to stay updated on governance regulatory compliance requirements.
  • Provide governance expertise for various ad hoc projects as needed.
  • Support the nomination and appointment processes for Board members within subsidiaries.

Essential Qualifications:
Governance Knowledge: Proven experience and understanding of governance principles.

Analytical Skills: Proficient in interpreting laws, regulations, and data to inform decision-making and evaluate the impact of governance strategies.

Communication Proficiency: Strong verbal and written communication skills.

  • Leadership and decision-making capabilities; experience in supporting senior stakeholders.

Collaboration: A team-oriented individual who can foster cooperation across various functions and build robust relationships with colleagues and key stakeholders.

  • Organizational Skills: Exceptional organizational abilities with a keen attention to detail.

Problem-Solving: Capacity to proactively identify and address governance challenges, providing practical and compliant solutions.

Project Management: Effectively manage governance-related projects and tasks.

Adaptability: Ability to thrive under pressure and meet tight deadlines.

Skills Required:
Legal research, legal documentation, legal assistance, legal administration, corporate governance, and technology management.
