Corporate Governance Assistant

Exciting Opportunity for a Corporate Governance Assistant to join our Governance, Risk, and Compliance team, contributing to the implementation of a robust corporate governance framework through a diverse range of compliance, secretarial, governance, assurance, and data protection responsibilities, ensuring adherence to best practices.
Your role will involve overseeing and managing all governance-related activities across the organization, particularly focusing on compliance within our governing structures. This will be achieved by establishing, developing, and executing the strategic priorities for the team.
This position offers significant exposure to various facets of the organization, collaborating directly with the Executive Leadership Team and Board. You will play a vital role in the governance arrangements, fostering and maintaining strong internal relationships, securing the necessary sponsorship, and instilling confidence in the delivery of secretarial services from senior leaders and stakeholders.
This is a hybrid position based in our award-winning offices. We offer flexible working hours, including options for shorter hours over five days or a four-day workweek. Full-time hours can also be considered. Please indicate your preferred working hours and pattern in your application.
Key Responsibilities include:
- Oversee internal, statutory, and SPV Boards/committees' meetings; managing the complete servicing of these meetings through the creation of forward plans and agendas, compiling and distributing Board packs, attending meetings, and accurately recording minutes while following up on action items.
- Monitor and review changes in corporate legislation and their implications for the organization, ensuring appropriate awareness within the wider Company Secretariat team to facilitate the implementation of necessary policy and procedural updates.
- Ensure that information, contracts, and claims are systematically filed within the Governance Risk and Compliance SharePoint space.
- Lead the maintenance and filing of statutory records for the organization and its entities with relevant authorities.
- Manage secretarial and administrative tasks, including company name changes, director changes, capital changes, registered office changes, and other company secretarial matters, ensuring timely updates on relevant platforms.
- Maintain corporate information and statutory records, including registers of members, declarations of interests, gifts, hospitality, contact details, and meeting attendance, while ensuring accurate and timely filings with relevant authorities.
- Assist the Governance & Compliance Manager in scheduling, arranging, and coordinating board and committee meetings, ensuring all calendars and deadlines are accurately maintained throughout the year.
- Handle KYC inquiries and other compliance-related queries.
- Support the preparation of the Annual Report by collating necessary inputs.
- Collaborate with the wider team to achieve the organization's objectives of upholding the highest standards of corporate governance.
We are seeking candidates with: experience in a Corporate Secretariat function within both private and public sectors, along with knowledge of corporate governance best practices, including:
- Confidence in minute-taking.
- Experience in managing the production of the Annual Report.
- Good understanding of the Companies Act 2006.
- Excellent IT proficiency.
You should possess strong organizational, communication, and stakeholder management skills, with a keen attention to detail and the ability to work collaboratively to meet objectives and deadlines.
While being ICSA qualified or having a desire to obtain this qualification is advantageous, it is not essential.
