Exciting Opportunity for a Corporate Governance Assistant to join our Governance, Risk, and Compliance team, playing a pivotal role in implementing the corporate governance framework through a variety of compliance, secretarial, governance, assurance, and data protection responsibilities, ensuring adherence to best practices.

In this role, you will manage all governance-related activities across the organization, specifically focusing on compliance within our governing structures. This will involve establishing, developing, and executing the strategic priorities for the team.

You'll gain significant exposure to various facets of the organization, collaborating directly with the Executive Leadership Team and Board. Your contribution will be vital to the governance arrangements, fostering and maintaining robust internal relationships, securing necessary sponsorship, and instilling confidence in the delivery of secretarial services from senior leaders and stakeholders.

This position offers a hybrid working arrangement, providing flexibility in your work pattern. We are open to discussing your preferred working hours, whether that be shorter hours over five days or a four-day workweek. Full-time hours can also be considered. Key Responsibilities include:

  • Oversee internal, statutory, and SPV Boards/committees' meetings; providing comprehensive servicing of the meetings through the creation of forward plans and agendas, compiling and distributing Board packs, attending meetings, and accurately recording minutes while following up on action items.
  • Monitor changes in corporate legislation and assess their impact on the organization, ensuring the wider Company Secretariat team is informed to facilitate the implementation of necessary policy and procedural updates.
  • Ensure proper filing of information, contracts, and claims within the Governance Risk and Compliance SharePoint space.
  • Lead the maintenance and filing of statutory records for the organization and its entities with Companies House, Charity Commission, and Diligent.
  • Manage secretariat and administrative tasks, including company name changes, director changes, capital alterations, registered office updates, and other company secretarial matters; ensuring timely updates on Companies House, Charity Commission, and Diligent.
  • Maintain corporate information and statutory records, including registers of members, declarations of interests, gifts, hospitality, contact details, and meeting attendance, while ensuring accurate and timely filings to Companies House.
  • Assist the Governance & Compliance Manager in scheduling, arranging, and coordinating board and committee meetings, ensuring all calendars and deadlines are accurately maintained throughout the year.
  • Handle KYC queries and other compliance-related inquiries such as FATCA.
  • Support the compilation of inputs necessary for the Annual Report.
  • Collaborate with the wider team to achieve the organization's objectives of upholding the highest standards of corporate governance.

We are seeking candidates with: experience in a Corporate Secretariat function within both private and public sectors, possessing knowledge of corporate governance best practices, as well as:

  • Confidence in minute-taking.
  • Experience in managing the production of the Annual Report.
  • Strong understanding of the Companies Act 2006.
  • Excellent IT proficiency.

Additionally, you should demonstrate strong organizational, communication, and stakeholder management skills, with discretion and attention to detail; capable of working collaboratively to achieve objectives and meet deadlines.

While being ICSA qualified or aspiring to achieve this qualification is advantageous, it is not mandatory.
