Position Overview

A prominent public limited company is seeking a Corporate Governance Assistant to join their team on a full-time, permanent basis.

The Corporate Governance Assistant will play a vital role in supporting the Company Secretary and facilitating corporate governance services across the organization, including its subsidiaries and joint ventures. This position involves leading routine corporate transactions and assisting with more intricate dealings such as restructurings and financing activities.

Key Responsibilities:

  • Analyze and interpret joint venture agreements
  • Coordinate with external Company Secretarial service providers
  • Oversee routine corporate transactions
  • Maintain statutory records using Diligent software
  • Prepare and submit confirmation statements and other statutory filings
  • Assist in the year-end accounts process
  • Support auditors with company secretarial and governance inquiries
  • Facilitate the upkeep of group structure diagrams
  • Review and maintain corporate policies and procedures
  • Ensure adherence to filing requirements of relevant stock exchanges
  • Manage complex transaction-related AML/KYC requests
  • Address inquiries from internal teams and external stakeholders
  • Stay informed about changes in corporate legislation and governance standards
  • Organize board meetings, prepare and review documentation, and distribute meeting materials
  • Draft minutes for board meetings

The ideal candidate will possess experience as a Corporate Governance Assistant, preferably within the property, real estate, or construction sectors, or have a background in a public limited company environment.
