Exciting Opportunity for a Corporate Governance Assistant to join the Governance, Risk, and Compliance team, contributing to the establishment of a robust corporate governance framework through a variety of compliance, secretarial, governance, assurance, and data protection responsibilities, ensuring adherence to best practices.

Your role will involve overseeing and managing all governance-related activities across the organization, particularly focusing on compliance within our governing structures. This will be achieved by defining, developing, and executing the strategic objectives for the team.

In this position, you will gain significant exposure to various facets of the organization, collaborating directly with the Executive Leadership Team and the Board. You will play a vital role in enhancing the governance arrangements, fostering and maintaining strong internal relationships, securing necessary sponsorship, and instilling confidence in the delivery of secretarial services from senior leaders and stakeholders.

This is a hybrid position based in a prestigious office environment. The role offers flexible working hours, with options for part-time arrangements or full-time commitments. We encourage you to share your preferred working hours and patterns during the application process.

Key Responsibilities include:

  • Oversee internal, statutory, and SPV Boards/committees' meetings; providing comprehensive support for the meetings, including planning and agenda formation, compiling and distributing Board packs, attending meetings, and accurately recording minutes while following up on action items.
  • Monitor and assess changes in corporate legislation and their implications for the organization, ensuring that the wider Company Secretariat team is informed to facilitate necessary updates to policies and procedures.
  • Ensure that information, contracts, and claims are appropriately filed within the Governance, Risk, and Compliance SharePoint.
  • Lead the maintenance and filing of statutory records for the organization and its entities with relevant authorities.
  • Manage secretarial and administrative tasks, including company name changes, director changes, capital alterations, registered office updates, and other corporate secretarial duties as needed; ensuring timely updates on statutory registries.
  • Maintain corporate information and statutory records, including registers of members, declarations of interests, gifts, hospitality, contact details, and meeting attendance, ensuring accurate and timely filings.
  • Assist the Governance & Compliance Manager in scheduling, arranging, and coordinating board and committee meetings, ensuring that all calendars and deadlines are consistently accurate throughout the year.
  • Handle KYC inquiries and other compliance-related queries.
  • Support the preparation of the Annual Report by gathering necessary inputs.
  • Collaborate with the broader team to uphold the organization's commitment to the highest standards of corporate governance.

We are seeking candidates with experience in a Corporate Secretariat function within both private and public sectors, possessing knowledge of corporate governance best practices, as well as:

  • Confidence in minute-taking.
  • Experience in managing the production of Annual Reports.
  • Strong understanding of the Companies Act 2006.
  • Excellent IT proficiency.

Additionally, you should demonstrate strong organizational, communication, and stakeholder management skills, with a keen attention to detail and the ability to work collaboratively to achieve objectives and meet deadlines.

While being ICSA qualified or aspiring to achieve this qualification is advantageous, it is not a prerequisite.
