Corporate Governance Assistant

Exciting Opportunity for a Corporate Governance Assistant to join our Governance, Risk, and Compliance team, playing a pivotal role in the implementation of our corporate governance framework through a diverse range of compliance, secretarial, governance, assurance, and data protection responsibilities, ensuring adherence to best practices.
Your primary focus will be to supervise and manage all governance-related activities across the organization, specifically ensuring compliance within our governing structures. This will involve establishing, developing, and executing the strategic priorities for the team.
This role offers significant exposure to various facets of the organization, collaborating directly with the Executive Leadership Team and Board. You will be integral to the governance arrangements, fostering and maintaining robust internal relationships, securing necessary sponsorship, and instilling confidence in the delivery of secretarial services from our senior leaders and stakeholders.
This is a hybrid position based in our modern offices. We offer flexible working arrangements, including part-time options or full-time hours. Please indicate your preferred working hours and pattern in your application.
Key Responsibilities:
- Oversee internal, statutory, and SPV Boards/committees' meetings; manage the complete servicing of these meetings, including the creation of forward plans and agendas, assembling and distributing Board packs, attending meetings, and accurately recording minutes while following up on action items.
- Monitor and assess changes in corporate legislation and their implications for the organization, ensuring that the wider Company Secretariat team is informed to facilitate necessary updates to policies and procedures.
- Ensure that information, contracts, and claims are appropriately filed within the Governance Risk and Compliance SharePoint space.
- Lead the maintenance and filing of statutory records for the organization and its entities with relevant authorities.
- Manage secretarial and administrative tasks, such as company name changes, director changes, capital changes, and other corporate secretarial duties, ensuring timely updates with relevant authorities.
- Maintain corporate information and statutory records, including registers of members, declarations of interests, gifts, hospitality, and meeting attendance, ensuring accurate and timely filings.
- Assist the Governance & Compliance Manager in scheduling, arranging, and coordinating board and committee meetings, ensuring all calendars and deadlines are accurately maintained.
- Handle KYC inquiries and other compliance-related queries.
- Support the preparation of the Annual report by collating necessary inputs.
- Collaborate with the wider team to uphold the organization's commitment to the highest standards of corporate governance.
We are seeking candidates with: experience in a Corporate Secretariat function within both private and public sectors, alongside knowledge of corporate governance best practices, including:
- Confidence in minute-taking.
- Experience in managing the production of the Annual Report.
- Strong understanding of the Companies Act 2006.
- Excellent IT proficiency.
Successful candidates will possess strong organizational, communication, and stakeholder management skills, demonstrating discretion and attention to detail. You should be able to work collaboratively to achieve objectives and meet deadlines.
While being ICSA qualified or aspiring to achieve this qualification is advantageous, it is not mandatory.
