Corporate Governance Assistant

Role Summary:
The Corporate Governance Assistant will play a pivotal role in delivering secretarial and governance support across the organization, ensuring that legal entities comply with statutory and regulatory requirements. This position will provide exposure to various business functions, collaborating closely with the Senior Management Team and contributing significantly to the firm's governance framework.
Key Responsibilities:
- Provide comprehensive secretarial services to a portfolio of UK subsidiaries and international entities, including:
- Drafting agendas;
- Coordinating the preparation, collection, and distribution of documents;
- Participating in management committees and other working groups;
- Taking minutes, maintaining records, and ensuring follow-up on action items.
- Maintain and update statutory registers and records for UK-registered entities and international branches.
- Deliver a wide range of support activities, including managing the secretariat's workload to meet deadlines and addressing any urgent issues as they arise.
- Lead company secretarial aspects of corporate consolidation and restructuring projects, including mergers and acquisitions, liaising with internal stakeholders and external advisors as necessary.
- Act as a representative for the company secretariat when required.
- Manage sensitive correspondence and documentation for the company secretariat with professionalism and discretion.
- Provide KYC support to other departments as needed.
- Oversee projects, conduct research, and prepare reports and presentations as appropriate.
- Partial or full qualification in Company Secretarial or legal field preferred, though not mandatory for the right candidate.
- Strong understanding of company secretarial practices and corporate governance, ideally within a regulated financial services environment.
- Significant experience in company secretarial functions, particularly in financial services.
- Solid grasp of UK company law and corporate governance standards; knowledge of regulations is a plus.
- Experience in organizing and attending committee meetings, including minute-taking and action management.
- Excellent verbal and written communication skills.
- Ability to work independently and take initiative.
- Meticulous attention to detail, with strong command of written English and grammar.
- High level of professionalism and discretion.
- Outstanding organizational, time management, and prioritization skills.
- Capability to troubleshoot and provide solutions with sound judgment.
- Ability to research, analyze, and present information clearly and concisely.
- Enthusiastic and adaptable, with a willingness to grow with the team.
- Proficiency in corporate governance software is desirable, though training will be provided.
