Exciting Opportunity for a Corporate Governance Assistant to join our Governance, Risk, and Compliance team, contributing to the implementation of our corporate governance framework through a diverse range of compliance, secretarial, governance, assurance, and data protection responsibilities, ensuring adherence to best practices.

Your role will involve overseeing and managing all governance-related matters across the organization, specifically focusing on compliance within our governing structures. This will be achieved by establishing, developing, and executing the strategic priorities for the team.

This position offers significant exposure to various facets of the organization, collaborating directly with the Executive Leadership Team and Board. You will play a crucial role in enhancing our governance arrangements, fostering strong internal relationships, securing necessary sponsorship, and instilling confidence in the delivery of secretarial services from our senior leaders and stakeholders.

This is a hybrid role based in our award-winning offices. We offer flexible working arrangements, including part-time options, and are open to discussing your preferred work pattern during the application process.

Key Responsibilities:

  • Take ownership of internal, statutory, and SPV Boards/committees' meetings; providing comprehensive servicing of the meetings through the creation of forward plans and agendas, compiling and distributing Board packs, attending, and accurately recording minutes, and following up on action items.
  • Review and monitor changes in corporate legislation and assess their impact on the organization, ensuring appropriate awareness within the wider Company Secretariat team to facilitate the implementation of necessary policy and procedural changes.
  • Ensure that information, contracts, and claims are appropriately filed within the Governance, Risk, and Compliance SharePoint space.
  • Lead the maintenance and filing of statutory records for the organization and its entities with relevant regulatory bodies.
  • Oversee secretariat and administrative tasks, such as company name changes, director changes, capital changes, and other company secretarial matters; ensuring timely updates on regulatory platforms.
  • Maintain corporate information and statutory records, including registers of members, declarations of interests, gifts, hospitality, and meeting attendance, ensuring accurate and timely filings.
  • Assist the Governance & Compliance Manager in scheduling, arranging, and coordinating board and committee meetings, ensuring all calendars and deadlines are accurately maintained throughout the year.
  • Manage KYC queries and other compliance-related inquiries.
  • Support the compilation of inputs required for the Annual report.
  • Collaborate with the wider team to achieve the organization's objectives of upholding the highest standards of corporate governance.

We are seeking candidates with: experience in a Corporate Secretariat function within both private and public sectors, along with knowledge of corporate governance best practices, including:

  • Confidence in minute-taking.
  • Experience in managing the production of the Annual Report.
  • Strong understanding of the Companies Act 2006.
  • Excellent IT proficiency.

Additionally, you should possess strong organizational, communication, and stakeholder management skills, with a keen attention to detail; able to work collaboratively within a team to achieve objectives and meet deadlines.

While being ICSA qualified or aspiring to achieve this qualification is advantageous, it is not a requirement.
