Job Overview:

Elixirr Partners LLP is in search of a seasoned and highly driven M&A Principal to enhance our vibrant M&A division. The ideal candidate will take charge of negotiations with potential acquisition targets, spearhead both commercial and financial due diligence, and guarantee the successful execution of numerous transactions. This position will involve direct collaboration with and reporting to the CEO and CFO of Elixirr on a daily basis. A demonstrated history of facilitating transactions, robust leadership capabilities, and the proficiency to oversee a team of multiple full-time employees is essential.

Primary Responsibilities:

Direct and oversee all facets of the M&A process, encompassing deal sourcing, assessment, structuring, negotiation, and execution. Supervise the assessment of inorganic growth opportunities, whether initiated internally or in response to inbound inquiries. Propel negotiations to secure advantageous terms and conditions, ensuring alignment with Elixirr's strategic vision and financial objectives. Manage commercial due diligence, including client surveys and comprehensive company evaluations. Conduct financial due diligence, involving the analysis of financial statements, valuation, sustainable normalized EBITDA, target working capital, and net cash/debt definitions. Ensure that all identified risks across diligence streams are communicated to Elixirr's senior management with agreed-upon mitigations. Negotiate SPA terms commercially and ensure that legal documentation aligns with commercial intentions, particularly regarding earn-out structures, purchase price adjustments, and risk allocation. Cultivate and maintain strong relationships with key stakeholders, including senior management of target companies, advisors, and Elixirr's senior management. Collaborate with legal, tax, and other advisors to ensure all transaction aspects are thoroughly reviewed and compliant with applicable regulations. Oversee the preparation of internal transaction materials for the Elixirr management team and board. Ensure an agreed-upon integration plan with clear responsibilities is established prior to transaction execution. Contribute to corporate strategy analysis and discussions with the Elixirr management team and board. Supervise the preparation of strategic materials and reports for Elixirr, including quarterly board papers, biannual company results, and investor presentations. Lead and mentor a team of approximately five full-time employees, fostering a collaborative and high-performance culture.

Required Qualifications / Skills:

Experience in lead advisory roles (e.g., Big 4 or Investment Banking) or in-house corporate development positions; ACA preferred. Proven history of successfully completing multiple M&A transactions, ideally with 5-10 years of experience as an M&A professional. Extensive experience in conducting financial due diligence, valuation, and risk assessment. Comprehensive understanding of valuation methodologies. Strong communication skills with the ability to influence senior colleagues. Experience in the professional services sector is preferred. Strong negotiation skills with a proven ability to achieve favorable outcomes. Exceptional analytical, problem-solving, and decision-making capabilities. Excellent communication and interpersonal skills, with the ability to build and maintain relationships with diverse stakeholders. Strong leadership and team management skills, with experience in leading a team. Ability to manage multiple live transactions simultaneously. High level of integrity, professionalism, and attention to detail.
