ROLE OVERVIEW

This position is designed to assist the Commercial Company Secretary in upholding exemplary standards of corporate governance and best practices within the BBC Commercial Group. BBC Commercial Limited serves as the governance and oversight authority for BBC Studios ('BBCS') and BBC Studioworks, along with their subsidiaries, collectively forming the BBC Commercial Group. The Senior Advisor plays a crucial role in ensuring adherence to pertinent UK and international legal and regulatory standards while aiding in the development and refinement of the corporate governance framework for the BBC Commercial group.

KEY RESPONSIBILITIES

  • Provide expert company secretarial guidance on various matters, including the drafting, reviewing, and execution of corporate documents, forms, applications, resolutions, and related materials, in compliance with local regulations.
  • Attend and document meetings for the Studios Executive Committee ('SEC'), Commercial Board, and other entities or committees within the Commercial Group as necessary.
  • Oversee the incorporation and dissolution processes for companies within the Group.
  • Manage relationships with Finance and Treasury Operations to secure corporate approvals for managing bank accounts for Group entities.
  • Supervise the annual statutory accounts project.
  • Ensure compliance with the global statutory framework.

Collaborate closely with the team to:

  • Guarantee that all statutory obligations are fulfilled promptly.
  • Facilitate corporate approvals following due process.
  • Maintain the accuracy of corporate records, primarily stored in Diligent Entities.
  • Manage and uphold corporate registers for powers of attorney, parent company guarantees, authorized signatories, and other relevant documents.
  • Review final equity deal documentation.
  • Ensure efficient communication with the BBCS oversight boards.
  • Provide assistance with internal projects and transactions.
  • Act in place of the Company Secretary when required.

REQUIRED QUALIFICATIONS

  • A Chartered Secretary, Graduate, or Associate of the Chartered Governance Institute, with a minimum of 2 years' post-qualification experience.
  • Comprehensive understanding of statutory obligations as dictated by the UK Companies Act.
  • Familiarity with the statutory accounts process.
  • Proven project management experience and strong organizational skills.
  • Exceptional attention to detail, along with robust analytical and communication abilities.
  • Proficient in utilizing Board portals (e.g., Diligent Boards) and compliance software (e.g., Diligent Entities).
