Overview:
We are seeking a dedicated Assistant Company Secretary to enhance our Governance team. This role is pivotal in supporting Boards, Committees, and Stakeholders by ensuring the meticulous documentation of meetings, timely distribution of materials, and tracking of action items.

Key Responsibilities:
  • Assist in the documentation of meetings for Boards, Committees, and Working Groups, ensuring high-quality minutes and updated action logs.
  • Act as a deputy for the Company Secretary across various entities as required.
  • Manage the Board Portal and support the Company Secretary in providing relevant information to Boards, Committees, and Executives.
  • Contribute to the evaluation of Terms of Reference for Boards and Committees, along with governance-related policies.
  • Facilitate the Board skills self-assessment and coordinate appraisal processes with the Chair and external consultants.
  • Oversee the Compliance Calendar, ensuring timely submission of regulatory and non-regulatory returns.
  • Support colleagues in managing operational risk registers.
  • Assist in annual compliance reporting with the NHF Code of Governance and the Regulator of Social Housing's Regulatory Framework.

Ideal Candidate Profile:
Skills and Experience:
  • Proven experience in a Governance or Company Secretarial role, with a focus on producing high-quality minutes and action tracking.
  • Demonstrated ability to create concise and accurate minutes for Board meetings.
  • Experience in preparing and supporting high-quality documentation for Board and Committee meetings.
  • Familiarity with regulated environments and processes.
  • Experience in Board Member recruitment, induction, appraisal, and succession planning.
  • Knowledge of the Social Housing Sector and relevant regulatory standards.
  • Proficient in Microsoft Office Suite, including Word, Excel, Outlook, and Teams.
  • Experience with Board or Governance portals.
  • Strong understanding of housing legislation or equivalent qualifications.
  • Excellent time management skills, with the ability to prioritize effectively in a dynamic environment.
  • Strong organizational skills, with a calm and methodical approach to meeting deadlines.
  • Exceptional communication and interpersonal skills, capable of engaging with diverse audiences.
  • Able to work independently while also being a proactive team member.

Education and Qualifications:
  • Degree-level education is desirable.
  • Legal, ICSA, or governance qualifications are preferred or a willingness to pursue such qualifications.
