We are excited to announce an outstanding opportunity for an Assistant Company Secretary to join our Governance team. This role is essential in providing comprehensive support to Boards, Committees, and Stakeholders by ensuring precise and timely documentation of minutes, tracking actions, and managing the production and distribution of meeting papers effectively.

In addition, the successful candidate will play a vital role in reviewing governance-related policies and procedures, as well as assisting in Board succession planning and recruitment activities.

Key Responsibilities:

  • Facilitate Boards, Committees, Working Groups, and Stakeholders by ensuring that meetings are accurately minuted and action logs are maintained, along with the preparation and distribution of meeting packs.
  • Act as a deputy for the Company Secretary across various entities as required.
  • Manage the Board Portal and support the Company Secretary in updating and providing essential information for Boards, Committees, and Executives.
  • Contribute to the evaluation of Terms of Reference for Boards and Committees, alongside governance-related policies and procedures.
  • Assist in the Board skills self-assessment process and coordinate Board appraisals and Personal Development Plans with the Chair and/or external consultants.
  • Oversee the Compliance Calendar and Programme, ensuring timely and accurate submission of both regulatory and non-regulatory returns with appropriate assurance.
  • Support colleagues in managing operational risk registers.
  • Assist in the annual reporting regarding compliance with the NHF Code of Governance and the Regulator of Social Housing's Regulatory Framework.

Ideal Candidate Profile:
Skills and Experience:

  • Proven experience in a Governance or Company Secretarial environment, including the production of high-quality minutes and action recording in Board or Committee meetings.
  • Demonstrated ability to produce accurate and concise minutes to high standards within deadlines at the Board Meeting level.
  • Experience in creating and supporting high-quality papers for Board and Committee meetings.
  • Background in a regulated environment.
  • Experience in supporting Board Member recruitment, induction, appraisal, and succession processes.
  • Knowledge of the Social Housing Sector and relevant Regulatory Standards.
  • Proficient in IT, including Microsoft Word, Excel, Outlook, and Teams.
  • Familiarity with Board or Governance portals.
  • Solid understanding of relevant housing legislation or equivalent qualifications.
  • Exceptional time management skills with the ability to prioritize effectively and manage competing projects.
  • Well-organized, calm, and methodical, capable of meeting tight deadlines in a dynamic environment while generating and adapting solutions.
  • Excellent communication and interpersonal skills, with the ability to engage with diverse audiences both in writing and verbally.
  • Able to work collaboratively within a team while also demonstrating initiative and self-direction.
  • Self-motivated and capable of working independently, knowing when to seek guidance from management.

Education and Qualifications:

  • Degree-level education is desirable.
  • Legal, ICSA, or governance qualification is preferred or a willingness to pursue such qualifications.
