Job Overview:

Elixirr Partners LLP is in search of a seasoned and driven M&A Principal to enhance our vibrant M&A division. The ideal candidate will take charge of negotiations with potential acquisition targets, spearhead both commercial and financial due diligence, and guarantee the successful execution of numerous transactions. This position entails direct collaboration with and daily reporting to the CEO and CFO of Elixirr. A demonstrated history of facilitating transactions, exceptional leadership capabilities, and the aptitude to oversee a team of multiple full-time employees are essential for this role.

Core Responsibilities:

Direct and oversee all phases of the M&A lifecycle, encompassing deal sourcing, assessment, structuring, negotiation, and finalization. Supervise the assessment of external growth opportunities, whether generated internally or in response to incoming inquiries. Propel negotiations to secure advantageous terms and conditions, ensuring alignment with Elixirr's strategic vision and financial objectives. Manage commercial due diligence processes, including client surveys and comprehensive company evaluations. Execute financial due diligence, focusing on financial statement analysis, valuation, sustainable normalized EBITDA, target working capital, and net cash/debt definitions. Ensure that all identified risks across diligence streams are communicated to Elixirr's senior management, with agreed-upon mitigation strategies. Negotiate the terms of the Sale and Purchase Agreement (SPA) and ensure that legal documentation aligns with commercial intentions, particularly regarding earn-out structures, purchase price adjustments, and risk allocation. Cultivate and maintain robust relationships with key stakeholders, including senior management of target companies, advisors, and Elixirr's senior management. Collaborate with legal, tax, and other advisors to ensure all transaction aspects are thoroughly examined and compliant with applicable regulations. Oversee the preparation of internal transaction documentation for Elixirr's management team and board. Ensure that a comprehensive integration plan with defined responsibilities is established prior to transaction execution. Contribute to corporate strategy evaluations and discussions with Elixirr's management team and board. Supervise the creation of strategic materials and reports for Elixirr, including quarterly board presentations, biannual company results, and investor communications. Lead and mentor a team of approximately five full-time employees, promoting a collaborative and high-performance environment.

Required Qualifications / Skills:

Background in lead advisory roles (e.g., Big 4 or Investment Banking) or in-house corporate development positions; ACA qualification preferred. Proven experience in successfully completing multiple M&A transactions, ideally with 5-10 years of experience as an M&A professional. Extensive expertise in conducting financial due diligence, valuation, and risk assessment. In-depth understanding of valuation methodologies. Strong communication skills with the capacity to influence senior stakeholders. Experience in the professional services sector is advantageous. Excellent negotiation skills with a proven track record of achieving favorable outcomes. Exceptional analytical, problem-solving, and decision-making skills. Outstanding communication and interpersonal abilities, with the capacity to establish and maintain relationships with diverse stakeholders. Strong leadership and team management skills, with experience in leading a team. Capability to manage multiple concurrent transactions effectively. High level of integrity, professionalism, and meticulous attention to detail.
