Job Overview:

Elixirr Partners LLP is on the lookout for a seasoned and driven M&A Principal to enhance our vibrant M&A division. The ideal candidate will take charge of negotiations with potential acquisition targets, spearhead both commercial and financial due diligence, and guarantee the successful execution of numerous transactions. This position will involve direct collaboration with Elixirr's CEO and CFO on a daily basis. A successful track record in transaction facilitation, robust leadership capabilities, and the capacity to oversee a team of multiple full-time employees are essential for this role.

Core Responsibilities:

Direct and oversee all phases of the M&A lifecycle, encompassing deal sourcing, assessment, structuring, negotiation, and execution. Supervise the assessment of external growth opportunities, whether initiated internally or in response to inbound inquiries. Propel negotiations to secure advantageous terms and conditions, ensuring alignment with Elixirr's strategic vision and financial objectives. Manage commercial due diligence processes, including client surveys and comprehensive company evaluations. Conduct financial due diligence, which includes scrutinizing financial statements, valuations, sustainable normalized EBITDA, target working capital, and net cash/debt definitions. Ensure that all identified risks across diligence streams are communicated to Elixirr's senior management with agreed-upon mitigations. Negotiate SPA terms commercially and ensure that legal documentation aligns with commercial intentions, particularly regarding earn-out structures, purchase price adjustments, and risk distribution. Cultivate and maintain strong relationships with key stakeholders, including senior management of target companies, advisors, and Elixirr's senior management. Collaborate with legal, tax, and other advisors to ensure all transaction aspects are thoroughly vetted and compliant with applicable regulations. Oversee the preparation of internal transaction documentation for Elixirr's management team and board. Ensure an agreed-upon integration strategy with clear responsibilities is established prior to transaction execution. Contribute to corporate strategy evaluations and discussions with Elixirr's management team and board. Supervise the preparation of strategic materials and reports for Elixirr, including quarterly board presentations, biannual company results, and investor communications. Lead and mentor a team of approximately five full-time employees, fostering a collaborative and high-performance environment.

Required Qualifications / Skills:

Experience in lead advisory roles (e.g., Big 4 or Investment Banking) or in-house corporate development positions; ACA preferred. Proven history of successfully completing multiple M&A transactions, ideally with 5-10 years of experience as an M&A professional. Extensive experience in financial due diligence, valuation, and risk assessment. In-depth understanding of valuation methodologies. Strong communication skills with the ability to influence senior stakeholders. Experience in the professional services sector is preferred. Exceptional negotiation skills with a demonstrated ability to achieve favorable outcomes. Outstanding analytical, problem-solving, and decision-making capabilities. Excellent communication and interpersonal skills, with the ability to build and sustain relationships with diverse stakeholders. Strong leadership and team management abilities, with experience in leading a team. Capability to manage multiple live transactions concurrently. High level of integrity, professionalism, and meticulous attention to detail.
