Job Description:

Key Responsibilities:

  • Manage a portfolio of private equity funds and corporate entities, ensuring timely and accurate completion of company secretarial tasks.
  • Act as a key point of contact for clients, providing guidance on corporate governance matters and ensuring effective communication with senior representatives.
  • Oversee company secretarial transactions, including preparation and review of corporate approvals, Companies House filings, and statutory registers updates.
  • Train and mentor junior staff, delegating tasks and reviewing work to ensure high-quality delivery.
  • Prepare for and participate in board and shareholders' meetings, ensuring minutes are completed on time.
  • Maintain statutory records for entities and ensure annual and ad-hoc filing requirements are met.
  • Proactively review and update entity records, ensuring accuracy and compliance.
  • Collaborate with the Co-Sec and Accounting teams to deliver excellent client service.
  • Assist with the setup and on-boarding of client structures, and administer complex international structures.
  • Interact with clients, board members, and third-party intermediaries to ensure effective communication and delivery.
  • Monitor changes in relevant legislation and regulatory environments, taking appropriate action to ensure compliance.
  • Coordinate regulatory filings for funds and corporate entities.
  • Assist with billing and cash collection.

Requirements:

  • Hold a university degree and/or relevant professional qualification (Chartered Governance Institute or equivalent).
  • Have 3 years or more of relevant experience in company secretarial or administration, managing fund or corporate structures.
  • Prior experience with Blueprint (now Diligent) would be beneficial.
  • Good knowledge of compliance requirements and AML regulations.
  • Team spirit, ability to build strong client relationships, and take initiative when necessary.
  • Flexible and hands-on approach, with an eye for detail.
  • Ability to prioritize and handle multiple projects simultaneously.
  • Good communication skills, with the ability to deal with people at all levels.
