Our team of experts is dedicated to delivering exceptional service to our clients, and we are seeking a highly skilled Company Secretary to join our growing Private Equity Corporate Governance Team in Jersey.

Job Description

We are looking for a Company Secretary to provide day-to-day support to our clients, including private equity funds and corporate entities. The successful candidate will have a strong understanding of company secretarial operations, including incorporation, share allotment, capital reduction, and change of directors. They will also have excellent communication and interpersonal skills, with the ability to build strong relationships with clients and colleagues alike.

Key Responsibilities
  • Provide day-to-day company secretarial support to clients, including preparation and review of corporate approvals, Companies House filings, and statutory registers updates.
  • Act as a key point of contact for clients, providing advice on corporate governance matters and ensuring that their needs are met.
  • Oversee various company secretarial transactions, including incorporation, share allotment, capital reduction, and change of directors.
  • Train junior staff and delegate tasks as necessary.
  • Prepare for and participate in board and shareholders' meetings, ensuring that minutes are turned around promptly.
  • Maintain statutory records for entities and ensure that annual and ad-hoc filing requirements are met.
  • Proactively review and update internal processes and logs/trackers.
  • Collaborate with the Co-Sec and Accounting teams, as well as other Alter Domus offices, to ensure seamless client service delivery.
Requirements
  • Hold a university degree and/or relevant professional qualification (Chartered Governance Institute or equivalent).
  • Have 3 years or more of relevant experience in company secretarial or administration, managing fund or corporate structures of a similar nature.
  • Prior Blueprint experience (now called Diligent) would be an advantage.
  • Have a good knowledge of compliance requirements and AML regulations.
  • Be a team player with excellent communication and interpersonal skills.
  • Be organized with an eye for detail and able to prioritize and handle multiple projects simultaneously.
