About the Role

Nuclera, a venture-backed biotech company, is seeking a highly skilled Company Secretary to support its growth and development. As a key member of the team, you will be responsible for ensuring the company's corporate governance framework is in place and effective.

Key Responsibilities:

  • Provide advisory support to the Board, Committees, and Executive Team on corporate governance and statutory compliance matters.
  • Develop and update internal policies and procedures to ensure compliance with relevant laws and regulations.
  • Support the Board and Committees in their decision-making processes, including preparing agendas, papers, and minutes.
  • Manage the Board calendar, arrange meetings, and facilitate effective communication and information flows.
  • Provide legal, financial, and strategic advice to support strategic projects, such as M&A transactions and financing.
  • Contribute to the company's ESG and sustainability initiatives, advising on best practice requirements.

Requirements:

  • Qualified Company Secretary (CGI/ICSA) or Qualified Solicitor/Lawyer.
  • Proven experience in company secretarial matters, preferably in the biopharma/life sciences space.
  • Strong communication and stakeholder management skills, with the ability to influence and build relationships.
  • Excellent drafting skills and attention to detail.
  • Demonstrable technical knowledge of relevant laws, regulations, and frameworks.
