Company Secretary Assistant

As a key member of the Eurofins UK NSC team, you will provide administrative support to the Company Secretary, ensuring the timely completion of statutory requirements for the UK and Ireland legal entities. Your role will involve working closely with the Company Secretary to ensure compliance with Group corporate governance and legal requirements.
Key Responsibilities:
- Provide day-to-day compliance and legal administration support to the Company Secretary
- Assist in ensuring all Eurofins UK and Ireland statutory company books, records, and regulatory filings are well maintained and up to date
- Manage and file Group intercompany service agreements
- Draft board minutes, resolutions, and shareholder resolutions for UK and Ireland companies
- Update and maintain the Group's corporate data in the Corporate Dataroom and data management system
- Assist with drafting and managing intercompany service agreements
- Submit quarterly representation letters to the Group in accordance with audit requirements
- Maintain the Group's corporate structure data management system
- Develop a good understanding of key policies relevant to the role to advise key stakeholders on queries
- Maintain robust systems and tracking to support key tasks and responsibilities
- Support the Company Secretary in maintaining the electronic Company Secretarial system
- Assist in tracking UK and Ireland companies' compliance with key governance policies and compliance targets
- Review commercial contracts
- Respond to email queries and calls relevant to the role
- Conduct the S&CA project and Statutory Accounts filing on an annual basis
Requirements:
- Educated to A Level English (or equivalent qualification)
- Proven experience in dealing with legal processes and regulatory authorities, preferably in a large complex group
- Computer literate
- Proven experience in a Paralegal or Company Secretarial role in a commercial environment requiring compliance with process, systems, and high levels of accuracy
- Excellent verbal and written communication skills, with the ability to write clearly and concisely
- Strong business acumen
- Methodical with strong organisation and prioritisation skills
- High level of accuracy and attention to detail
- A self-starter prepared to lead an agenda directly with senior managers and internal stakeholders
- Trustworthy, experienced, and capable of keeping confidential information confidential
