Job Summary

The Associate will be an integral part of a team of 4-6 professionals based in London, reporting directly to the Team Head. This team is a segment of CLF - Acquisition Finance & Advisory ("AFA"), which merges Corporate Acquisition Finance solutions with Rating & Capital Advisory services.

The position will report to the AFA London Team Head, who oversees operations in the U.K., Middle East, and Nordics. The London AFA team primarily focuses on the U.K., Nordics, and the Middle East, with staffing aligned to workload and the development of the team's skill set and expertise.

Key Responsibilities
1. Corporate Acquisition Finance
Marketing & Structuring
- Develop and produce Acquisition Finance & Advisory pitch materials for corporate clients in collaboration with other business units (DCM, CLF, ECM, GIB, and DAR Distribution teams).
- Conduct financial modeling, including cash flow assessments and financial forecasts.
- Propose financing structures (tranching, pricing, main covenants).
- Participate in client meetings alongside Senior Banker(s) and relevant colleagues.

Transaction Management & Execution
- Prepare the business opportunity memorandum ("BOM") for submission to General Management.
- Draft transaction requests (risk analysis, peer analysis, transaction structure, profitability assessments, and production of bank and stressed business cases) and coordinate the credit process (liaison with RPC, CPM/ALM, Coverage).
- Create syndication materials (information memoranda, bank presentations).
- Produce and review loan documentation (term sheets, mandate letters, facility agreements).
- Adhere to established AFA and relevant CLF procedures.

2. Rating & Capital Advisory
Occasionally assist RCA Senior Advisors in originating and executing financial advisory mandates, which may involve:
- Analyzing companies' business models, capital structures, and financial policies.
- Positioning and benchmarking companies within their industry peer groups.
- Assessing credit risk based on Rating Agencies' methodologies.
- Developing financial models to evaluate the impact of changes in business scope, capital structure, and funding.
- Determining and optimizing debt capacity in line with rating constraints and targets, proposing actions to achieve companies' objectives regarding cost of capital and financial policy.
- Pitching and executing Rating Advisory missions to secure inaugural ratings or optimize existing ratings, thereby enhancing companies' access to DCM and debt capacity.
- Staffing may be adjusted based on workload without sector specialization.
