The Chair will ensure that the affairs of the Board are well managed, its agendas are well planned and that supporting documents are circulated in due time. The Chair is responsible for briefing the Chief Executive, with day-to-day management led by the Chief Operating Officer, supported by the Head of Corporate Affairs and People.

The Chair will act as the ambassador for the work of Health Innovation Oxford and Thames Valley with fellow Health Innovation Network Chairs, as well as NHS, academic and industry partners, and decision and policy makers at all levels, including nationally.

The Chair will undertake the annual appraisal of the Chief Executive (with due reference to the CEO of Oxford University Hospitals (OUH) NHS Foundation Trust, our host Trust).

**Main duties and responsibilities**:
Provide leadership to the Board of Health Innovation Oxford and Thames Valley;
**Chair effective Board meetings, which will involve**:
Working in partnership with the Chief Executive to determine the agenda;
Ensuring that the Board receives accurate, timely and clear information, including specialist advice as and when required;
Developing and maintaining close working relationships with all Board members;
Welcoming challenge and scrutiny, ensuring all Board members contribute their skills, and experience to decision-making;
Ensuring that the Board focuses on its key tasks;
Directing discussions so that everyone understands what has been agreed

Taking a leading role in determining the composition and structure of the Board;
Supporting and acting as a sounding board to the Chief Executive as appropriate;
Actively contribute to the organisation’s strategic aims;
Build trust and work collaboratively in order to manage relationships with key stakeholders;
Ensure high standards of governance are maintained;
Uphold the values of the organisation, and promote equality and diversity;
Safeguard the good name and reputation of the organisation.

Other responsibilities

Represent the organisation at Health Innovation Network Committee meetings;
Conduct a performance appraisal of the Chief Executive at least annually, in line with our host’s procedure;
The successful postholder will also act as Chair of our Company Limited by Guarantee (CLG), Accelerare, once a year and become a Member of the CLG.
