We have a great opportunity for an Assistant Company Secretary to work as part of the Governance, Risk and Compliance team, supporting with embedding the corporate governance framework through a wide range of compliance, secretariat, governance, assurance, and data protection duties, ensuring best practice.

You will oversee and manage all governance matters across the UPP business, specifically ensuring compliance across our governing structures. They will do this by establishing, developing and implementing the strategic priorities for the team.

There will be a great degree of exposure to all parts of the business, working directly with UPP's Executive Leadership Team and Board. Playing an essential role to UPP's governance arrangements, developing and maintaining strong internal relationships, securing the appropriate sponsorship and instilling confidence in the delivery of secretariat services from our senior leaders and stakeholders.

This is hybrid role based in our award-winning offices near London Bridge, Cannon Street and Monument stations. This is a 30 hours a week opportunity and we would be open to discuss your preferred work pattern including shorter hours over 5 days or a 4 day week. We would also consider full time hours for this role too. Please advise of your preferred working hours and pattern on your application.

Role Responsibilities include:

  • Take ownership internal, statutory and SPV Boards/committees’ meetings; providing end to end servicing of the meetings through formation of forward plans and agendas, collating and issuing Board packs via Board Intelligence, attending, and taking accurate minutes, following up on actions
  • Review and monitor changes in corporate law and the related impact on the business and ensuring appropriate awareness within the wider Company Secretariat team to enable the implementation of changes to policies and procedures as required
  • Ensure information, contracts, claims, are filed accordingly within the Governance Risk and Compliance SharePoint space
  • Lead and over the maintenance and filing of statutory records for UPP Group and its entities on Companies House, Charity Commission and Diligent
  • Lead on Secretariat and administrative matters, such as: company name changes, director changes, capital changes, registered office changes, and other company secretarial matters as required; ensuring the information is updated on Companies House, Charity Commission and Diligent
  • Maintain corporate information and statutory records for UPP including registers of members, declaration of interests, gifts, and hospitality, contact details, meeting attendance and submit appropriate, accurate filings to Companies House in a timely manner
  • Support the Governance & Compliance Manager with scheduling, arranging and coordinating board and committee meetings, and report deadline schedules, ensuring all calendars and deadlines are accurate throughout the year and all internal stakeholders are notified.
  • Manage KYC queries and other compliance related queries such as FATCA
  • Assist with collating the input required to produce the Annual report
  • Work with the wider team in order to achieve the organisation’s goals of maintaining the highest standards of corporate governance

We are looking for you to have experience working within a Corporate Secretariat function within the private and public sector with knowledge of corporate governance best practice, as well as:

  • Confident in taking minutes
  • Experience of managing production of Annual Report
  • Good working knowledge of the Companies Act 2006
  • Excellent IT skills

You will also have strong organisational, communication and stakeholder management skills with discretion and an attention to detail; able to work as part of a team to deliver objectives and meet deadlines.

Being ICSA qualified or have a desire to achieve this qualification would be an advantage but is not essential.
