Job Description

Job Title: Corporate Governance Manager

Job Summary:

We are seeking a highly skilled Corporate Governance Manager to join our Legal team at Worldpay. As a key member of our team, you will be responsible for providing an end-to-end governance service and company secretarial function focused on our Boards and Committees in the UK, the Netherlands, and globally.

Key Responsibilities:

  • Statutory Filings and Compliance: Prepare and assist with statutory filings, event-driven changes, including director resignations and appointments, and maintain entity database records.
  • Entity Incorporations and Compliance: Oversee new entity incorporations, overseas set-up, appointment of directors, and ensure internal compliance with Group-wide Corporate Governance guidelines.
  • Board Support: Provide board support to entity directors, liaise with senior management on matters related to quarterly board meetings.
  • Statutory Filings and Reporting: Assist in the management of timely statutory filings, liaise with group accounting and tax teams on regular reporting to regulated boards.
  • Collaboration and Interface: Interface and collaborate with the broader Worldpay in-house legal, compliance, risk, and audit team, as well as business and central function teams.
  • Corporate Secretarial Support: Provide corporate secretarial support on corporate reorganisations, M&A, rationalisations, and other major projects.

Requirements:

  • Qualifications: Associate of the Chartered Governance Institute ('ACG')
  • Experience: Minimum of 3 years' post-qualified corporate secretarial/corporate legal experience
  • Skills: Familiarity with the UK Wates Corporate Governance Principles for Large Private Companies, experience of reviewing statutory accounts, and familiarity with the UK financial distribution regime
