About the Role

We are seeking an experienced corporate governance professional to join our Governance & Secretariat Team at Network Rail. As a key member of the team, you will be responsible for delivering excellent board and committee governance and management within specified timeframes.

Key Responsibilities
  • Advising on corporate governance and managing a portfolio of board and committee meetings
  • Contributing to the group annual report and accounts and working on other corporate governance and secretariat tasks
  • Monitoring and evaluating developments in company law, regulation, and corporate governance
  • Implementing improvements to Governance & Secretariat policies and processes
  • Managing boards and committees, including preparing agendas, meeting papers, and tracking feedback on actions
  • Supporting and implementing subsidiary governance oversight
  • Signing and sealing contracts in accordance with delegated authority approval policies
  • Working on the Network Rail Limited Annual Report and Accounts project
  • Identifying and mitigating risks from non-compliance with company law, regulation, and/or corporate governance
Requirements
  • Member of the ICSA: The Governance Institute
  • Experience of working at a senior level within a company secretarial function
  • Articulate, numerate, and well-organized
  • Extremely high level of attention to detail
  • Knowledge and experience of Company Law and Combined Code requirements
