Job Title: Assistant Governance Officer

Job Summary:

We are seeking an experienced Assistant Governance Officer to join our team at Legal & General. As a key member of our Group Functions, you will be responsible for providing governance and company secretarial services to a range of subsidiary companies and divisional level governance forums.

Key Responsibilities:

  • Acting as Secretary to a Portfolio of Subsidiary Entities: You will be responsible for building and maintaining effective relationships with Board members and Senior Management, Board/Committee meeting administration and logistics, Board support including timely distribution of Board and Committee packs, meeting attendance and minute taking, oversight and maintenance of all statutory records and filings, and providing governance advice.
  • Providing Company Secretarial and Governance Services: You will ensure that all entities remain fully compliant with the provisions of the Companies Act 2006 and where relevant, compliance with all aspects of the UK Corporate Governance Code, regulatory requirements, and the FCA's Listing, Disclosure and Transparency Rules.
  • Assisting with Group and Divisional Governance Projects: You will assist with the successful delivery of the Annual General Meeting (AGM) and production of the Annual Report, as well as projects to improve governance standards across the Group, such as constitutional document updates, legal entity rationalisation projects, company incorporations, and reviews, and implementation of subsidiary governance frameworks.
  • Management of Board/Entity Related Matters: You will be responsible for managing all Board/entity related matters within your portfolio, including supporting with the appointment and induction process for new Directors, arranging site visits and strategy events, and coordinating the year-end process for subsidiary entities, which includes the preparation and approval of year-end accounts, conflicts of interest reviews, governance reviews, and verification of Annual Report content.
  • Conducting Horizon Scanning Research: You will conduct research on statutory and regulatory changes that could affect the Company, including attending external seminars, communicating changes to the team, and ensuring processes are updated and implemented where required.

Requirements:

  • Prior Experience: You will have prior experience of acting as the Secretary to a Board/Committee.
  • Background: A background in Financial Services/Asset Management is highly desirable.
  • Qualifications: You will be fully qualified (Chartered Governance Institute).
  • Skills: You will have exceptional organisational skills and attention to detail, as well as a high degree of personal and professional integrity.
