Position Summary

An exceptional opportunity for a Corporate Governance Officer to become part of a dynamic team, providing essential support to the Group's international entities in terms of company secretarial duties and corporate governance. The ideal candidate will possess an entrepreneurial spirit and be prepared to advance their career. This role offers a diverse range of responsibilities as the company continues to expand and engage in various innovative projects.

Key Responsibilities

  • Offer guidance and assistance on corporate governance matters to the organization.
  • Facilitate corporate governance support concerning all transaction aspects, including acquisitions, disposals, and divestitures related to the Group.
  • Ensure that projects adhere to Shareholder and Company policies, approval processes, and local regulations.
  • Serve as an advisor on the Group's Delegated Authority Manual and oversee the Power of Attorneys workstream.
  • Support the Group's growth into new markets while ensuring compliance with corporate governance standards.
  • Act as a reliable advisor to the directors of all Group entities, serving as their primary contact for corporate governance and board-related inquiries.
  • Provide insights to senior management and board committees to ensure they have the necessary information for informed decision-making.
  • Coordinate and ensure the execution of all board and shareholder resolutions and minutes.
  • Maintain a comprehensive database of all group entities' board and meeting information.
  • Draft board resolutions, documents, and minutes.
  • Organize the execution and filing of relevant reports, returns, board documents, and other necessary paperwork.
  • Manage the requirements for filing reports and events with regulatory bodies.
  • Monitor and ensure compliance with governance requirements across various jurisdictions.

Qualifications and Skills

  • Degree or equivalent qualification.
  • Possession of, or currently pursuing, an ICSA qualification is advantageous.
  • Proven experience in a similar capacity within the financial services or digital assets sector.
  • Demonstrated ability to coordinate and support multiple entities with corporate governance administration and advisory.
  • Comprehensive knowledge and experience in company secretarial practices.
  • Excellent organizational and minute-taking abilities.
  • Experience in a fast-paced startup environment is a plus.
  • Strong IT proficiency (including Office 365, Excel, Word, PowerPoint, SharePoint).
  • Prior experience with employee share schemes is beneficial.
  • Proactive and entrepreneurial mindset.
  • Ability to understand and anticipate stakeholder needs.
  • Capability to effectively coordinate a board of directors and committees.
