Position Overview

Capital One (Europe) plc is seeking a seasoned professional to fulfill the role of Company Secretary within our Legal, Governance, and External Affairs division. This pivotal position reports directly to the Chief Counsel and involves leading a governance team dedicated to supporting the Board, CEO, and broader executive management.

Key Responsibilities

  • Deliver expert Board secretariat guidance and governance, ensuring the seamless execution of Board and Committee meetings, including the preparation of comprehensive agendas, Board packs, and minutes.
  • Collaborate closely with the Board Chair to continually assess and enhance the effectiveness of the Board and its committees.
  • Assist the executive management team in producing high-quality Board documentation and fostering effective Board engagement.
  • Facilitate Board interactions with executive management.
  • Oversee the appointment and resignation processes for Board directors, including the onboarding and training of new members.
  • Manage corporate filings with regulatory bodies as necessary.
  • Develop and implement processes to ensure compliance with applicable governance codes, including the Wates Principles for Large Private Companies.
  • Engage with the Corporate Governance team of our parent company in the U.S. regarding reporting on shareholder requirements and knowledge sharing.
  • Maintain statutory records, including registers of members, directors, and secretaries, with assistance from external legal counsel.
  • Stay informed on changes in relevant legislation and corporate governance standards.

Candidate Profile

  • Qualified professional from the Chartered Governance Institute with substantial experience in Company Secretarial functions within the financial services sector.
  • Proven track record in stakeholder management and influencing.
  • Exceptional drafting capabilities and meticulous attention to detail.
  • Strong communication and interpersonal skills.
  • A proactive approach to leading and driving change, particularly in supporting key stakeholders.
  • Excellent problem-solving abilities to address strategic, legal, and reputational challenges.
  • Confidence in establishing new relationships both internally and externally.
  • Ability to work independently while managing competing priorities effectively.
  • Adaptability to thrive in a dynamic work environment.
