Position Overview:

We are seeking a dedicated professional to fill the role of Deputy Company Secretary within our Governance team. This full-time position, comprising 37 hours per week, is pivotal in providing comprehensive support to our Boards, Committees, and Stakeholders. The successful candidate will ensure the meticulous documentation of meetings, timely distribution of materials, and the accurate logging of actions.

Key Responsibilities:

  • Assist in the administration of Boards, Committees, and Working Groups, ensuring that meetings are documented with precision and that action items are tracked effectively.
  • Act as a deputy for the Company Secretary across various entities as required.
  • Manage the Board Portal, aiding the Company Secretary in updating and disseminating essential information for Boards, Committees, and Executives.
  • Participate in the evaluation of Terms of Reference for Boards and Committees, along with governance-related policies and procedures.
  • Facilitate the Board skills self-assessment process and coordinate Board appraisals and Personal Development Plans in collaboration with the Chair and/or external consultants.
  • Oversee the Compliance Calendar and Program, ensuring timely and accurate submissions of both regulatory and non-regulatory returns.
  • Support colleagues in managing operational risk registers.
  • Contribute to the annual reporting on compliance with governance codes and regulatory frameworks.

Ideal Candidate Profile:

Skills and Experience:

  • Proven experience in a Governance or Company Secretarial role, with a strong background in producing high-quality minutes and action records in a meeting context.
  • Demonstrated ability to create accurate and concise minutes for Board-level meetings under tight deadlines.
  • Experience in preparing and supporting high-quality documentation for Board and Committee meetings.
  • Familiarity with regulated environments and the Social Housing Sector.
  • Strong IT proficiency, particularly in Microsoft Word, Excel, Outlook, and Teams.
  • Experience with Board or Governance portals.
  • Solid understanding of relevant housing legislation or equivalent qualifications.
  • Exceptional time management skills, with the ability to prioritize effectively and manage multiple projects.
  • Excellent communication and interpersonal skills, capable of engaging with diverse audiences both verbally and in writing.
  • A proactive team player with the ability to work independently and exercise initiative.

Education and Qualifications:

  • Degree-level education is desirable.
  • Legal, ICSA, or governance qualifications are preferred or a willingness to pursue such qualifications.
