Overview:
We are seeking a dedicated and skilled Assistant Company Secretary to join our Governance team. This role is essential in providing comprehensive support to Boards, Committees, and Stakeholders by ensuring accurate and timely documentation of meetings, managing action logs, and facilitating the production and distribution of essential papers.
Key Responsibilities:
- Assist in the effective functioning of Boards, Committees, and Working Groups by ensuring high-quality minute-taking and action tracking.
- Act as a deputy for the Company Secretary across various entities as required.
- Maintain and update the Board Portal, providing necessary information to the Company Secretary for Board and Committee meetings.
- Contribute to the evaluation and revision of governance policies and procedures.
- Support the Board skills self-assessment and coordinate appraisal processes alongside the Chair and external consultants.
- Oversee the Compliance Calendar, ensuring timely submission of regulatory and non-regulatory returns.
- Assist in the annual compliance reporting in line with governance codes and regulatory frameworks.
Ideal Candidate Profile:
Skills and Experience:
- Proven experience in a Governance or Company Secretarial role, particularly in minute-taking and action management.
- Ability to produce concise and accurate minutes at a high standard within deadlines.
- Experience in preparing high-quality documentation for Board and Committee meetings.
- Familiarity with regulated environments and governance frameworks.
- Knowledge of recruitment, induction, and appraisal processes for Board Members.
- Understanding of the Social Housing Sector and relevant regulatory standards.
- Proficient in Microsoft Office Suite and governance software.
- Solid understanding of housing legislation and regulations.
- Excellent organizational and time management skills, with the ability to prioritize effectively.
- Strong communication and interpersonal skills, capable of engaging with diverse audiences.
- Ability to work independently and as part of a team, demonstrating initiative and self-motivation.
Education and Qualifications:
- Degree-level education is desirable.
- Legal, ICSA, or governance qualifications are preferred or a willingness to pursue such qualifications.
