Job Overview

As an integral part of the Corporate Governance team, the selected candidate will play a crucial role in delivering comprehensive secretarial services to the Group and its international subsidiaries across various regions.

Key Responsibilities:

Provide essential support within the UK team as part of a dynamic and collaborative international Corporate Governance unit that handles all fundamental company secretarial duties for the Group's subsidiaries. This includes a strong emphasis on statutory compliance and meticulous record-keeping, as well as managing routine annual and year-end processes, and engaging in ad-hoc projects. Key responsibilities encompass:
  • Overseeing subsidiary, branch, and other entity management/compliance, including:
  • Establishment and registration of new entities.
  • Deregistration or liquidation of existing entities.
  • Management of statutory documentation/files and entity management database records.
  • Preparation of subsidiary board minutes and shareholder resolutions for both routine and ad hoc matters.
  • Filing statutory returns.
  • Compiling statutory accounts.
  • Providing advice on project/bid and KYC support, including the preparation of statements and documentation.
  • Drafting Powers of Attorney.
  • Assisting with requests for document and contract execution (notarisation, legalisation requests).
  • Supporting the M&A Team with merger & acquisition activities and divestiture/reorganisation projects (including post-completion filings and onboarding new entities).
  • Assisting in the review of UK subsidiary accounts.
  • Offering support to other members of the Legal team.
Qualifications and Skills:
  • Demonstrated experience in company secretarial roles (preferably within an international Corporate Governance team).
  • Experience managing the administration of entities across various jurisdictions.
  • Technical skills in company secretarial practices, ideally within a complex international group.
  • Proficiency in Microsoft Office at an intermediate level.
  • Familiarity with entity management platforms/databases (such as EnGlobe, Blueprint) is advantageous.
Educational Background:
  • ICSA qualified or currently pursuing ICSA qualification (preferably with experience in an international corporate governance environment).
OR
  • Degree qualified (or equivalent), with a willingness to pursue ICSA as postgraduate study.
Personal Attributes:
  • Strong organizational and administrative capabilities.
  • Excellent communication skills, particularly in written English.
  • Ability to prioritize and manage a diverse workload; capable of working independently with minimal supervision.
  • Comfortable in a fast-paced environment with tight deadlines and a readiness to learn and take on new responsibilities.
  • Professional demeanor.
  • Team-oriented with good interpersonal skills (including tact, honesty, integrity, confidentiality, patience, and the ability to collaborate effectively in a multicultural setting).
  • Self-driven with problem-solving and decision-making abilities.
  • Meticulous attention to detail and accuracy is essential.
Location:

Positioned in the UK, with primary locations in Epsom or London (with potential for hybrid/remote work in accordance with company policies). Travel to either office may be required for meetings.
