Position: Commercial Counsel

Type: Permanent

Location: Reading/Hybrid - 3 days per week onsite

Role Summary:

As a Commercial Counsel, you will deliver specialized legal expertise, support, and strategic guidance to the Sales, Commercial, and Marketing teams within the organization. Your responsibilities will encompass a wide array of commercial issues, including but not limited to, commercial disputes, intellectual property, and technology matters. You will be instrumental in drafting and negotiating contracts as necessary.

Key Responsibilities:

  • Utilize your extensive legal knowledge to provide essential support and counsel to the Sales and Commercial teams, aiding in the achievement of customer acquisition goals and the provision of passive infrastructure services in the mobile telecommunications industry.
  • Act as the primary legal contact for the Sales, Commercial, Marketing, and Communications teams, addressing day-to-day legal inquiries and offering general assistance.
  • Engage in the drafting and negotiation of legal documents across various domains, including IT, Marketing, Operations, and general Commercial matters, while providing insights into business strategies and governance documentation.
  • Proactively identify potential challenges or issues and manage them independently.
  • Handle a diverse range of agreements, such as cloud services contracts, infrastructure sharing agreements, facilities management contracts, NDAs, master services agreements, framework agreements, and other customer-facing contracts.
  • Provide sound legal advice to colleagues regarding risks and issues related to specific deals, aiming to mitigate risks and offer practical solutions.
  • Support the Marketing, Brand, and Communications teams by advising on all pertinent legal matters.
  • Collaborate closely with the Senior Commercial Counsel on queries and the drafting of contract variations related to Master Services Agreements.
  • Oversee the maintenance and evolution of the template document suite that underpins our commercial transactions.
  • Continuously update the document suite in alignment with the evolving legal landscape, ensuring that customer obligations are effectively managed within the supply chain.
  • Contribute to the ongoing enhancement of the Legal & Compliance Team's functions by providing innovative solutions and forward-thinking approaches to legal workstreams.
  • Identify opportunities for transformation and develop new solutions, often leveraging technology for greater efficiency.
  • Establish and maintain effective working relationships with legal suppliers to ensure satisfactory management of work and costs.
  • Foster strong collaborative relationships with legal supplier teams, requiring daily oversight and support.

Required Skills:

  • Qualified solicitor with a background in commercial law.
  • Extensive experience in commercial contracts.
  • 3-6 years of post-qualification experience in commercial transactions.
  • Experience in a dynamic in-house legal environment.
  • Solicitor with a current practicing certificate.
  • Strong interpersonal and project management capabilities.
  • Ability to cultivate strong relationships with colleagues and stakeholders.
  • Self-starter with the capacity to work independently and collaboratively.
  • Proven track record of innovation and continuous improvement.
  • Solid commercial awareness.
  • Experience with Technology, Marketing, and Intellectual Property contracts.
