Position: Commercial Counsel

Type: Permanent

Location: Reading/Hybrid - 3 days per week onsite

Role Summary:

As a Commercial Counsel, you will deliver expert legal guidance and support to the Sales, Commercial, and Marketing teams within the organization. Your focus will encompass a wide array of commercial issues, including contract negotiation, intellectual property, and technology matters. You will collaborate closely with the Senior Commercial Counsel on significant transactions, overseeing external legal resources and expenditures as necessary. Establishing robust relationships with internal teams and external legal entities will be key to your success.

Primary Responsibilities:

  • Utilize your legal expertise to assist the Sales and Commercial teams in achieving customer acquisition goals and delivering passive infrastructure services in the mobile telecommunications sector.
  • Serve as the primary legal contact for the Sales, Marketing, and Communications teams, addressing day-to-day legal inquiries and providing general support.
  • Engage in drafting and negotiating a variety of legal documents across multiple domains, including IT, Marketing, and Operations, while offering insights into business strategies and governance documentation.
  • Proactively identify potential challenges and manage them independently.
  • Draft and negotiate agreements, including cloud services contracts, infrastructure sharing agreements, NDAs, and master services agreements.
  • Provide sound legal advice to colleagues regarding risks and issues associated with specific deals, aiming to mitigate risks and propose practical solutions.
  • Support the Marketing, Brand, and Communications teams with relevant legal advice.
  • Collaborate with the Senior Commercial Counsel on queries and contract variations related to Master Services Agreements.
  • Oversee the maintenance and evolution of the template document suite used for commercial transactions.
  • Ensure that the document suite is regularly updated to reflect changes in the legal landscape and that customer obligations are properly aligned with the supply chain.
  • Contribute to the ongoing enhancement of the Legal & Compliance Team's functions by introducing innovative solutions and forward-thinking approaches to legal workflows.
  • Identify opportunities for transformation and develop new solutions, often leveraging technology for improved efficiency.
  • Build and maintain effective relationships with legal suppliers to ensure satisfactory management of work and costs.
  • Foster collaborative relationships with legal supplier teams, requiring daily oversight and support.

Required Qualifications:

  • Qualified solicitor with a background in commercial law.
  • Extensive experience in commercial contracts.
  • 3-6 years of post-qualification experience in commercial transactions.
  • Experience in a dynamic in-house legal environment.
  • Solicitor with a current practicing certificate.
  • Strong interpersonal and project management capabilities.
  • Ability to cultivate strong relationships with colleagues and stakeholders.
  • Self-starter with the ability to work independently and collaboratively.
  • Proven track record of innovation and continuous improvement.
  • Solid commercial awareness.
  • Experience with Technology, Marketing, and Intellectual Property contracts.
