About the Role

We are seeking a Governance Manager to join our team at the Wellcome Trust, a global charitable foundation dedicated to improving health for everyone. As a Governance Manager, you will play a critical role in supporting the smooth functioning of our governance bodies, including the Board of Governors and all Board Committees.

Key Responsibilities:

  1. Governance Process Management: Help manage Wellcome's governance processes effectively to ensure timely flows of information, papers, and minutes between governance bodies and management.
  2. Corporate Governance and Company Secretarial Tasks: Look after Wellcome's corporate governance and company secretarial tasks, including the coordination of agendas, preparation of board/committee packs, attending meetings, drafting of minutes, and helping with the preparation of the necessary sections of the Annual Report and Accounts.
  3. Collaboration and Improvement: Work closely with a broad range of internal and external contacts across the business, including tax, legal, finance, internal audit, communications, institutional funding, and risk. Contribute to organisational improvements in relation to specific governance/policy topics, including conflicts of interest, the appropriate handling of external complaints, and Wellcome participation on external boards.

Requirements:

  1. Governance and Company Secretarial Knowledge: Good level of governance and company secretarial knowledge as well as experience supporting multiple board committees in parallel.
  2. Experience in Governance: Experience as part of an effective governance function, ideally with some experience within a complex charity environment.
  3. Technical Skills: Experience with Diligent Boards portal software.
