POSITION OVERVIEW:
This role involves overseeing the corporate governance framework for the Reagan Gold Group, ensuring the delivery of top-tier governance services across our various entities. You will play a pivotal role in managing and coordinating the corporate governance function, collaborating closely with local teams to establish and maintain high standards of corporate governance practices.

KEY RESPONSIBILITIES:

  • Serve as the primary coordination point for in-house governance leads across different jurisdictions;
  • Manage corporate calendars, schedule meetings, and oversee diary management;
  • Collaborate with legal partners on corporate restructuring, share plans, and inter-company arrangements, while effectively communicating with external stakeholders;
  • Work alongside jurisdictional leads to ensure timely completion of annual financial statements for all group entities;
  • Assist legal counsel in maintaining Ultimate Beneficial Owner (UBO) records, ensuring that relevant registries are current and coordinating group structure diagrams;
  • Promote the use of Diligent Entities (Blueprint) as the central record-keeping system across all jurisdictions and utilize Diligent Boards for the preparation and management of board materials for all in-house entities globally;
  • Foster and maintain strong relationships and processes to meet group and jurisdictional governance requirements;
  • Build and sustain effective internal relationships with key stakeholders, including senior leadership and other departments;
  • Oversee group Know Your Customer (KYC) requests in collaboration with local teams and support corporate approvals necessary for bank account openings;
  • Stay informed about legal and regulatory changes affecting corporate governance;
  • Drive improvements in processes and efficiencies while developing and implementing best practices for corporate governance, ensuring appropriate Powers of Attorney (POAs) are established, board compositions are maintained, and sufficient board meetings are convened in accordance with local regulations;
  • Act as a key contact for the boards of directors, representing the corporate governance function at the highest levels;
  • Ensure the delivery of high-quality corporate secretarial services by local teams, including board support, statutory filings, and compliance with all legal and regulatory obligations;
  • Encourage a positive and collaborative atmosphere within the internal service function;
  • Set the standard for the corporate governance service line across the organization;
  • Promote interaction with local teams to establish protocols for the in-house governance style.

CANDIDATE PROFILE:
The ideal candidate will possess a university degree and/or relevant professional qualification (such as from the Chartered Governance Institute or equivalent) or be in the process of obtaining one. A minimum of 5 years of experience in corporate governance, preferably within a professional financial services environment, is required. A general understanding of related areas such as KYC/AML, tax, accounting, regulatory, and data protection requirements is essential. Familiarity with Diligent Entities (Blueprint) and Diligent Boards is advantageous.

Strong relationship-building skills with key stakeholders, the ability to take initiative, and effective communication and management skills are crucial. The candidate should adopt a flexible, hands-on approach, be organized with attention to detail, and be capable of managing multiple requests and deadlines under pressure.
