CONTRACT TYPE: 12 month Fixed-Term Contract

ROLE OVERVIEW:
As the Senior Corporate Governance Manager, you will spearhead the governance function across our group entities, ensuring the highest standards of corporate governance are upheld. Your role will involve close collaboration with local teams to implement consistent governance practices and provide essential support and guidance.

KEY RESPONSIBILITIES:

  • Serve as the primary coordination point for corporate governance leads across various jurisdictions;
  • Manage corporate calendars, schedule meetings, and oversee diary management;
  • Collaborate with legal partners on corporate restructurings, share plans, and inter-group arrangements, while effectively communicating with external stakeholders;
  • Work alongside jurisdictional leads to ensure timely completion of annual accounts for all group entities;
  • Assist legal counsel in maintaining Ultimate Beneficial Owner (UBO) records and ensuring relevant registries are current;
  • Promote the use of Diligent Entities (Blueprint) as the central record-keeping system across jurisdictions and utilize Diligent Boards for board pack preparation;
  • Cultivate strong relationships and processes to meet group and jurisdictional governance requirements;
  • Foster internal relationships with key stakeholders, including senior leadership;
  • Oversee group Know Your Customer (KYC) requests with local teams and coordinate corporate approvals for bank account openings;
  • Stay informed on legal and regulatory developments related to corporate governance;
  • Drive process enhancements and implement best practices for corporate governance, ensuring appropriate Powers of Attorney (POAs) are established and board compositions are maintained;
  • Act as a key liaison for the boards of directors, representing the corporate secretarial function at the highest levels;
  • Ensure the delivery of high-quality corporate secretarial services by local teams, including board support and compliance with legal requirements;
  • Promote a collaborative and positive atmosphere within the internal service function;
  • Set the standard for corporate secretarial services across the organization;
  • Encourage interaction with local teams to establish governance protocols.

CANDIDATE PROFILE:

  • A university degree and/or relevant professional qualification (e.g., Chartered Governance Institute) or currently pursuing one;
  • A minimum of 5 years of experience in corporate governance, preferably within a financial services context;
  • A solid understanding of related areas such as KYC/AML, tax, accounting, and regulatory requirements;
  • Familiarity with Diligent Entities (Blueprint) and Diligent Boards is advantageous;
  • Strong relationship-building skills and the ability to take initiative;
  • Excellent communication and management skills, with the ability to delegate effectively;
  • A flexible, hands-on approach with strong organizational skills;
  • Ability to manage multiple requests and deadlines under pressure.
