We are seeking an experienced Senior Governance Officer to provide a high-quality secretariat to its board, Risk and Audit Committee, Remuneration and Nominations Committee, and to its Directors’ Group which is the executive leadership team.

The role sits within the OfS’s Governance team and reports to the Corporate Governance Manager and the Head of Governance, but it requires close working with staff who support the chief executive and chair such as the OfS Chief of Staff.

Partnership working with senior leaders (including the chair and chief executive) and understanding the strategic context that the OfS is working within is key to success in this role, as is the ability to deal with a lot of information at pace, and to exercise good understanding and sound judgment when documenting discussions and decisions. The post holder must be proactive with excellent organisational and drafting skills, take effective minutes, demonstrate attention to detail, and motivate people to deliver papers on time, balancing diplomacy with tenacity. They will be confident in engaging with a wide range of people including senior external board and committee members. Integrity and discretion are essential as the post holder will manage confidential and sensitive material.

Aspects of the work include supporting the development of a board engagement plan (using wider understanding of the context the OfS is working within and its strategic objectives), working with colleagues on the onboarding and induction of members, and on the planning of productive meetings and events.

Specific responsibilities of the role include:

- Effective and accurate minute taking
- Reviewing actions arising from meetings and overseeing their progression
- Developing the forward look of meetings and agenda items
- Working with colleagues to plan productive meetings and events and managing the practical arrangements for meetings
- Preparing chair’s briefings
- Managing and recording conflicts of interest or receipt of gifts and hospitality, identifying any potential conflicts of interest and responding to queries
- Managing pre and post meeting documentation and other communications with members
- Drafting papers as required, such as committee reports to the board
- Managing board and Risk and Audit Committee effectiveness surveys and reporting
- Bringing key strategic issues promptly to the attention of the Directors’ Group, board, or committees
- Overseeing board and committee member onboarding and induction and making arrangements for colleagues to lead on specific parts
- Drafting and updating induction material for new members.to the board or committees
- Contributing to management of committee recruitment campaigns with colleagues in the governance team
- Maintaining records on members in respect of biographies and conflicts of interest, attendance, and length of terms of office.
- Facilitating board member performance appraisals
- Dealing with member queries
- Ensuring that members’ honorarium and expenses are paid in a timely manner
- Management of the publication of board papers on our website, working with external relations colleagues on the information rights aspects of this work
- For the Directors’ Group, coordinating agendas and meeting papers, writing up the weekly minutes and coordinating the action log under the oversight of the Chief of Staff who will actively manage that work.

About you

You will be:

- Experienced in delivering effective board and committee secretariat processes
- Have an excellent understanding of the principles of good governance and good practice in corporate governance
- Able to use your understanding of the context the organisation is working within and its strategic objectives to inform drafting of papers and minutes and to inform the development of a board engagement plan
- Proactive in providing high level support to the executive, board and its committees
- Able to comprehend complex information and to draw out the salient points for minuting or inclusion in reports
- Able to build and maintain relationships and work collaboratively with senior leaders across the OfS and at board and committee level
- Able to take ownership of your own workload, prioritising appropriately
- Able to work calmly under pressure
- Public and/or higher education sector experience would be desirable.
