Structure of Our Incentives Team

Our Incentives team is part of our integrated Pensions, Employment, and Incentives group, led by five Partners and currently comprising 28 Associates, six professional support lawyers, and seven Trainees who advise on employment, incentives, and pensions. Many of our attorneys provide counsel in two or more of these areas. As an incentives consultant, you will have the opportunity to collaborate with any of the incentives partners and senior counsel in the PEI group, as well as with partners and colleagues from the Corporate, Private Equity, Financial Institutions, and Tax practices.

The group's incentives work encompasses some of the largest transactions, including takeovers, private M&A deals, business transfers, IPOs, demergers, outsourcing, and restructuring and insolvency scenarios.

Our incentives practice also involves advising both public and private companies on incentivization and remuneration strategies for their executives, including the design, implementation, and management of cash and equity-based incentive programs such as long-term incentive plans, growth share schemes, and phantom plans. We provide guidance on the management incentivization aspects of private equity transactions and UK corporate governance requirements related to executive remuneration.

Key Responsibilities

The primary responsibilities of this role include, but are not limited to:

  • Serving as the primary contact for advising clients on a diverse range of share plan and incentives matters, including remuneration and corporate governance
  • Drafting, reviewing, and modifying the legal and commercial components of incentives documentation
  • Assuming responsibility for the share plan and incentives elements of various corporate transactions
  • Providing first-line support to clients on select matters while collaborating within a larger team of colleagues at varying experience levels on others
  • Overseeing and mentoring the work of others, including trainees
  • Coordinating with other departments within the firm to provide comprehensive advice on these areas
  • Enhancing the practice by promoting the firm and its services to both existing and prospective clients, and contributing to the development of know-how, including client bulletins and training events

Candidate Profile

Ideal candidates for this position should possess:

  • A keen interest in pursuing a career as an incentives lawyer. While some trainee or post-qualification experience in incentives is preferred, we are also eager to meet candidates with a primary background in corporate/private equity work who wish to focus on management incentivization moving forward. Experience with private equity management incentivization arrangements and related tax matters would be advantageous.
  • A strong academic foundation and a proven high level of intellectual rigor and exceptional analytical skills.
  • The flexibility and willingness to assist with straightforward employment or other matters as needed.
  • The ability to draft, advise, and negotiate concerning complex transactions and cases, clearly identifying and articulating key technical issues in a commercial context.
