Private Equity Counsel

We are seeking a highly skilled and experienced Fund Lawyer to join our team at The Stephen James Partnership. As a key member of our Private Markets team, you will play a critical role in supporting the growth and development of our clients' investment portfolios.
Key Responsibilities- Manage all legal aspects of fund and product structuring, including negotiating commercial agreements and offering corporate support to the broader business.
- Act as an important advisor to the investment desk on appropriate fund and management structure.
- Set up new GPs and fund vehicles, and assist with transactional activity, such as reviewing shareholder agreements and managing co-investment transactions between funds and accounts.
- Negotiate and review agreements with service providers and clients, including distribution agreements, investment management agreements, and marketing agreements.
- Offer broader corporate support relating to our essential products.
- Act as a point of contact with external counsel.
- 2-4PQE lawyer (E&W trained, ideally)
- Proven experience gained PQE in private/alternative investment funds team at a leading City firm or within an asset management firm.
- Understanding of a range of private funds and investment structuring (including Luxembourg structures) across different private asset classes.
- Experience with regulated fund structures such as LTAF, ELTIF, and other structures for private assets will be beneficial but not essential.
