Job Title: Assistant Company Secretary - Governance Expert

Job Summary:

Evelyn Partners is seeking a highly skilled Assistant Company Secretary to join our team. As a key member of our Company Secretariat, you will play a critical role in providing a high-quality, efficient company secretarial and governance service to the Evelyn Partners Group.

Key Responsibilities:

  • Act as secretary of certain Group committees, ensuring effective communication and decision-making.
  • Assist with all board and committee meeting preparation, including agenda development and minute-taking.
  • Support the Deputy Company Secretary in maintaining records required pursuant to the FCA and PRA's senior managers' regime.
  • Provide technical input as required by the Group Company Secretary and the Deputy Company Secretary to ensure that boards and committees are striving for best practice.
  • Assist the Deputy Company Secretary to ensure the effective execution of company general meetings and LLP members' meetings.
  • Support the Group Company Secretary and the Deputy Company Secretary in ensuring the Group is fully compliant with all regulatory, legislative, and governance requirements.
  • Monitor the effectiveness of delegated authorities and authorized signatories.
  • Provide cover for the company secretarial assistants in relation to the Blueprint records management database.
  • Maintain the Group's close links and overseas regulators records.
  • Deal professionally and effectively with internal and external contacts, including main board members and other senior individuals.
  • Assist with share plan registration, HMRC/Companies House filings, and completion of share plan ERS annual returns.
  • Assist with preparation of share valuations for the purposes of employee share schemes.
  • Provide support on various share plan administration and operational actions, including relating to share options exercises, leavers, and share sales.
  • Assist as necessary with ad hoc projects.

Requirements:

  • Knowledge of relevant legal and regulatory requirements, particularly the Companies Act 2006 and relevant corporate governance standards.
  • Ability to work well under pressure, managing conflicting priorities and working to deadlines.
  • Excellent time management and flexible approach to working.
  • Outstanding analytical and numerical ability.
  • Proficient Microsoft Office skills, including Outlook, Word, Excel, Teams, PowerPoint, Skype, Visio.
  • Excellent knowledge of Diligent Boards and Entities, or similar packages.
  • Ability to work effectively as part of a team.
  • Planning & organizing skills, including managing priorities to deadlines.
  • Excellent verbal and written communication skills.
  • Experience of working in a UK listed company is desirable.

Professional Qualifications and Education:

  • ACG qualified.
  • Demonstrable experience of company secretarial work gained predominantly in a professional services or financial services environment.
