Position Overview

We are looking for a dedicated and organized legal professional to join our dynamic Legal team, focusing on Commercial and Corporate Governance & Franchising. This role involves managing a comprehensive range of governance, corporate, and commercial issues within the UK & Ireland, including corporate governance, commercial agreements, IT and digital initiatives, data protection compliance, marketing approvals, franchising, joint ventures, and employment-related matters.

Key Responsibilities

Franchising:

  • Overseeing franchise grant transactions.
  • Coordinating with external legal counsel on corporate asset sales involving franchisees.
  • Providing guidance to the Franchising Recruitment team on various recruitment initiatives.
  • Addressing diverse franchisee applicant concerns.
  • Offering support on general franchising inquiries.
  • Assisting franchisees and joint venture partners in meeting corporate governance standards.

Corporate Governance and Compliance:

  • Executing general company secretarial duties, including drafting powers of attorney and resolutions related to annual accounts and board appointments.
  • Facilitating McDonald's board meetings, including preparation of materials, conducting meetings, and finalizing minutes.
  • Delivering training on directors' responsibilities and monitoring corporate legislation changes.
  • Managing corporate governance and litigation reporting, ensuring compliance with internal frameworks and external counsel requirements.
  • Leading the review of employee conflict of interest disclosures.
  • Handling corporate transactions and providing legal support for the marketing co-operative.
  • Coordinating responses for audits and managing compliance initiatives.
  • Collaborating with the Global Compliance Director on market support and due diligence.

Commercial Responsibilities:

  • Negotiating and drafting various commercial agreements, including confidentiality and data processing agreements.
  • Advising internal stakeholders on commercial matters, including data protection, intellectual property, and compliance.
  • Working with the Marketing team to ensure compliance in advertising campaigns.
  • Managing data protection inquiries and compliance within new projects.
  • Identifying legal trends and regulatory changes to enhance company policies and training programs.
  • Supporting the People team with policy updates and employee complaint resolutions.
  • Participating in cross-functional teams for strategic initiatives and risk management.

Team Dynamics and Stakeholders

The Legal Counsel role is integral to the Legal Team, providing support across various departments within McDonald's UK & Ireland, including Franchising, Marketing, IT/Digital, Customer Services, Finance, and Supply Chain.

Qualifications

  • A qualified solicitor with 3-5 years of post-qualification experience, though applications from all levels are welcomed.
  • Strong academic background, preferably trained in a leading law firm or reputable in-house legal department.
  • Experience in corporate governance, commercial contracts, and corporate transactions is advantageous.
  • Seeking a proactive, self-motivated individual who thrives in a collaborative environment.
  • Excellent communication skills, with the ability to convey complex legal concepts to non-legal stakeholders.
