Morgan Philips Group is seeking a highly skilled Commercial Contracts Manager to join their legal team. As a key member of the team, you will be responsible for negotiating, drafting, and reviewing commercial contracts between the company and their third-party suppliers.
Key Responsibilities:
- Contract Review and Negotiation: Provide practical, commercial, and concise advice, guidance, and support on contract terms, legal issues, and business risks.
- Contract Management: Review and amend terms in various agreements, including supplier and customer contracts, sales of goods and services, reseller agreements, software licenses, SaaS agreements, Purchase Order terms, EULAs, master service agreements, and related SOWs.
- Negotiation and Communication: Negotiate with customers and suppliers in line with business requirements and company policies to achieve business objectives and the required allocation of risk.
- Contract Administration: Manage and maintain contracts registers and contract management systems.
- Team Collaboration: Work closely with various departments to onboard new suppliers and customers.
- External Counsel: Instruct external legal counsel in non-UK jurisdictions or for specific legal expertise and apply the advice to the situation.
- Contract Templates: Create new business templates and keep existing business legal templates up to date and relevant.
- Team Support: Make use of the team's training, research, precedent, and technology resources to optimize the individual and the team's service delivery.
- Policies and Processes: Assist with the creation, maintenance, and update of internal policies and processes relating to the legal function.
About You:
- Legal Background: Legal training (e.g., law degree, LPC, GDL) and proven practical experience to demonstrate a solid understanding and application of fundamental legal principles, particularly in relation to commercial contracts.
- Commercial Experience: In-house experience across a range of commercial agreements.
- Contract Knowledge: Good knowledge of contract law and some knowledge of cross-border agreements and the additional complications they pose to the parties.
- Data Protection: A good understanding of data protection legislation and its relevance to commercial transactions.
- Initiative and Teamwork: Ability to take initiative and work independently as well as part of a team.
- Decision-Making: Confident in own skills to make decisions that align with the law and the business's requirements.
- Negotiation Skills: Good negotiation skills to help seek positive business outcomes and maintain positive relations with customers and suppliers.
- Adaptability: Adaptable and able to work flexibly in the context of a medium-sized growing business.
