Job Description

Xodus is seeking a highly skilled Senior Contract Advisor to join our team. As a key member of our commercial team, you will play a critical role in advising on contract and commercial risks and opportunities of key proposals and ongoing projects.

Key Responsibilities
  1. Evaluate and Advise on Contractual Risk: Evaluate and advise on contractual risk in contract drafts, including client contracts, subcontracts, non-disclosure agreements, and other agreement forms.
  2. Lead Negotiation of Contracts: Lead negotiation of contracts, contract amendments, and renewals, including annual rate reviews.
  3. Attend Client Negotiation Meetings: Attend client negotiation meetings and performance reviews.
  4. Draft Contractual Documents: Draft contractual documents, including amendments, novations, and assignments, NDAs, release/reliance letters, etc.
  5. Advise on Contractual Disputes: Advise and assist with resolution of contractual disputes that may arise.
  6. Provide Commercial Input: Provide commercial input to proposals, ensuring legal issues and commercial risks are fully understood and taken on board in preparation of tenders.
  7. Lead Continuous Improvement: Lead continuous improvement efforts to reduce/manage business risk and actively promote continuous improvement in commercial and contractual aspects of business operations.
  8. Provide Guidance and Training: Provide guidance, training, and awareness on contractual and commercial aspects to the wider business, ensuring early engagement in the contracting process.
  9. Mentor Contract Advisors: Mentor and develop contract advisors.
  10. Monitor Project Commercial Performance: Regularly monitor and report on project commercial performance.
  11. Ensure Compliance: Ensure all activities comply with governance policies and procedures and project controls are followed.
  12. Stay Up-to-Date with Regulations: Keep the business up to date with relevant changes to regulations/legal requirements.
Supplemental Responsibilities
  1. Develop Contract Templates: Develop and maintain contract templates, contract and commercial management processes, and guidelines.
  2. Support Due Diligence: Support due diligence on new opportunities, clients, suppliers, and prospective acquisitions.
  3. Commercial Review of Proposals: Commercial review of key proposals, especially of high value or complexity, and framework/global agreements.
  4. Assist with Set Up of New Corporate Entities: Assist with the set up of new corporate entities.
  5. Seek Board Approvals: Seek board approvals where required, in consultation with regional directors.
  6. Liaise with Stakeholders: Liaise with relevant stakeholders for negotiation of, and to obtain bonds and guarantees.
  7. Provide Advice on Insurance Coverage: Provide advice regarding Xodus' insurance coverage.
  8. Identify Opportunities for Expansion: Identify opportunities to expand Xodus offerings to clients.
  9. Stay Up-to-Date with Legal Developments: Keep up to date with relevant legal developments.
  10. Draft and Negotiate Subcontract Agreements: Draft, review, and negotiate subcontract agreements.
Requirements
  1. Degree in a Relevant Area: Degree educated in a relevant area, such as law or business management, is desirable.
  2. Relevant Experience: Relevant experience in both client and supplier-facing commercial contracts, preferably gained in an engineering/energy consultancy environment.
  3. Understanding of Contracts and Commercial/Legal Principles: Demonstrably solid understanding of contracts and commercial/legal principles.
  4. Knowledge and Experience of Commercial Contract Law and Relevant Regulations: Knowledge and experience of commercial contract law and relevant regulations.
