Job Summary

We're seeking a highly skilled Commercial Legal Counsel to join our Commercial Legal Team, reporting to the Senior Legal Director. As a key member of our team, you'll play a strategic role in supporting our growing Ledger Enterprise Services (LES) business, providing legal expertise and guidance on commercial engagements, contract drafting, and negotiation.

Key Responsibilities
  • Provide legal support for commercial engagements, including drafting and reviewing a wide range of commercial agreements, such as LES Agreements, sales and distribution agreements, IT agreements, marketing agreements, and general terms & conditions.
  • Assist in the development of new go-to-market strategies and products, and advise on relevant laws and regulations.
  • Improve existing contract templates and create new ones, working closely with other functions and legal team members.
  • Research and advise on relevant laws and regulations that may impact Ledger or LES.
  • Define and drive improvements in the management of legal processes and contract documentation flows, approvals, reporting, and archiving.
  • Work closely with other functions to contribute to the development of internal tools and improve existing processes, guidelines, and policies.
  • Ensure that Know Your Business (KYB) and other processes are followed and progress efficiently.
  • Advise on disputes and help the broader legal team in improving and creating compliant solutions to resolve complex business challenges.
Requirements
  • Bachelor's degree in Law or non-law degree with a Graduate Diploma in Law (GDL) or Diploma.
  • Current Practicing Certificate (English Qualification).
  • At least 5 years of commercial legal experience dealing with Platform as a Service (PaaS) or similar businesses at a global law firm and/or in-house legal department.
  • Excellent experience with contract drafting and negotiation in English.
  • Excellent written and verbal communication skills in English.
  • Rigorous, pragmatic, and business-oriented approach.
  • Ability to be autonomous, meet deadlines, and organize, prioritize, and multitask.
  • Creative and practical thinker who can communicate information accurately and completely, while being concise and digestible for non-lawyers.
  • Collaborative team player who is willing to help colleagues.
  • At ease in a high-growth, fast-paced, and innovative environment.
  • Knowledge of the crypto industry is a plus but not required.
