Position: Senior Legal Counsel

Location: London, United Kingdom

Assala Energy stands as a prominent entity in the oil and gas sector, specializing in exploration and production with significant assets in Gabon. Our commitment lies in conducting operations responsibly while striving to enhance value for our stakeholders.

We are in search of a Senior Legal Counsel to enhance our Legal team based in London. In this role, you will oversee a diverse array of regulatory, corporate, financing, and compliance-related legal matters and transactions. A robust comprehension of corporate structure and governance is essential to support the business operations of non-Gabon entities, while also coordinating with Gabon counsel for requisite activities. Collaborating with the broader team and external legal advisors, you will manage claims, disputes, and litigation, assist the finance department with corporate authorizations and KYC, and provide compliance and operational contract support across various divisions.

Key Responsibilities:

  • Deliver comprehensive legal support across all business units.
  • Draft, negotiate, and review intricate legal documents and agreements.
  • Facilitate corporate governance processes, including board and shareholder meetings, as necessary.
  • Oversee claims, disputes, and litigation management.
  • Support the finance team with corporate authorizations, KYC, and lending operations.
  • Provide compliance contract assistance to HR, HSSE, CSR, and Operations.
  • Prepare tender documentation, engage in negotiations, and manage the contract lifecycle.
  • Offer legal guidance to the C&P department to ensure adherence to regulations and standards, while negotiating favorable terms for the organization.
  • Develop, review, and conduct training on relevant policies and procedures.

Qualifications and Requirements:

  • 4-8 years PQE, qualified in the UK.
  • Exceptional communication skills, both written and verbal.
  • Thorough understanding of corporate governance and regulatory obligations.
  • Experience in upstream oil and gas contracting is highly advantageous.
  • Demonstrated ability to manage multiple projects and adhere to tight deadlines.
  • Fluency in English; proficiency in French is a plus.
  • Willingness to travel occasionally to Gabon.
