Where are we now? ATG achieved “first mover advantage” in each of the sectors we serve. ATG established a vision that has 3 big strategic phases for how we will lead the transformation of the auction industry. THE CANDIDATE

The ideal candidate has worked in a FTSE 250/350 and is able to co-ordinate the activities necessary to ensure that ATG meets its legal obligations as a public limited company and operates to a high standard of corporate governance. This role is a part time role, and perfect for those who are looking to step up and run the responsibilities of a company secretariat in combination with gaining a better work life balance.

KEY SKILLS & EXPERIENCE

  • Ideally a law degree or background and a qualified chartered company secretary.
  • Experience working as a Company Secretary in a FTSE 250/350 company
  • Knowledge and experience in Board Administration, Governance, Annual Reports, Regulatory compliance, ESG, Governance related policies, and market abuse regulations.
  • A high level of technical expertise in company law, listing rules and corporate governance.
  • Experienced in managing communication between colleagues and providing guidance and advice to board members with the utmost discretion.
  • Ability to work self-sufficiently and proactively in a stand-alone role
  • Flexibility with working days during busier work periods i.e., during the development and release of the annual report
  • Familiarity with cosec applications (e.g. board portals, RNS, Companies House, NSM)

YOUR RESPONSIBILITIES

  • Provide guidance to the Chairman/CEO/CFO/Board on how to meet the company’s legal and corporate governance responsibilities and provide practical support to enable the Board to run efficiently and effectively.
  • Organize and administer all the Board’s activities and meetings, including preparing agendas and papers, taking minutes and managing the annual board meeting cycle.
  • Ensure that information flows appropriately and effectively within the Board and its committees and between the executive team and non-executive directors
  • Developing and overseeing the systems that ensure that the company complies with all applicable codes, in addition to its legal and statutory requirements, including year-end activity.
  • Drafting narrative sections of the annual report, liaising with key internal and external stakeholders and ensuring timescales and approvals are adhered to. Coordinate distribution of annual report to shareholders, including associated communications and notifications.
  • Project-manage annual general meeting, including drafting notice, proxy form and shareholder communications, coordinating logistics, voting reports, liaison with registrars and proxy agencies, regulatory notifications.
  • Monitoring changes in relevant legislation and the regulatory environment and taking action accordingly. Liaise with external advisers (remuneration consultants, legal advisers, brokers, registrars, auditors) as required.
  • Support the Chairman and Board committee chairs in their specific roles and communication of governance and remuneration matters to investors and other governance stakeholders. Coordinate board evaluation.
  • Ensure statutory compliance for the company’s UK entities.
  • Update, manage and ensure cascading of core policies and processes including ATG’s Shared Dealing Code, Committees Terms of Reference and other board related polices.
  • May be required to be on call on non-working days for urgent queries
  • Maintain the culture and values of ATG and protect and develop its reputation as a high integrity, ethical and corporately responsible business.
