Description

The key responsibilities for the Company Secretarial Assistant are:

  • Support the Society Secretary in all company secretarial tasks for Southern Co-op and its subsidiaries and associated organisations.
  • Arrange board and committee meetings, ensuring timely preparation and distribution of papers, minutes, and reports.
  • Maintain records of actions from meetings, ensuring communication and monitoring completion.
  • Coordinate director attendance at conferences and other appointments, attending as necessary.
  • Administer board and committee performance evaluations, training needs assessments, and report on results.
  • Review and arrange training for directors, maintaining records of all director training.
  • Handle on boarding of new directors.
  • Ensure directors are informed of relevant information, provide guidance on board processes, and manage board fee payments and expenses.
  • Assist in organising and attending democratic member meetings for SC and related organisations.
  • Manage elections for the board of directors and other elected positions in compliance with Society rules.
  • Maintain statutory registers and file annual returns, accounts, and company changes to ensure legal compliance.
  • Support end-of-year reporting requirements.
  • Review constitution-related documents and draft necessary amendments.
  • Ensure proper execution procedures for deeds, documents, and contracts, obtaining board approvals and documenting transactions accordingly.

Profile

The successful candidate for the Company Secretarial Assistant is someone with the following:

  • Chartered Governance Institute qualifications or professional legal qualifications with experience in company law or company secretarial practice.
  • Sound knowledge of corporate governance best practices.
  • Strong administrative experience with board/senior level activities.
  • Excellent organisational and multitasking skills.
  • High literacy and report writing skills with attention to detail.
  • Strong interpersonal skills, capable of interacting with colleagues at all seniority levels.
  • High standards of personal and professional integrity and discretion.
